Stat. tit. 54, § 54-500-606A","heading":"Power to bind and liability to limited partnership","body":"before dissolution of partnership of person dissociated as general\n\npartner.\n\nPOWER TO BIND AND LIABILITY TO LIMITED PARTNERSHIP BEFORE\n\nDISSOLUTION OF PARTNERSHIP OF PERSON DISSOCIATED AS GENERAL PARTNER.\n\n(a) After a person is dissociated as a general partner and\n\nbefore the limited partnership is dissolved, converted under Article\n\n11 of this act, or merged out of existence under Article 11 of this\n\nact, the limited partnership is bound by an act of the person only\n\nif:\n\n(1) the act would have bound the limited partnership under\n\nSection 36 of this act before the dissociation; and\n\n(2) at the time the other party enters into the transaction:\n\n(A) less than two (2) years has passed since the\n\ndissociation; and\n\n(B) the other party does not have notice of the\n\ndissociation and reasonably believes that the person\n\nis a general partner.\n\n(b) If a limited partnership is bound under subsection (a) of\n\nthis section, the person dissociated as a general partner which\n\ncaused the limited partnership to be bound is liable:\n\n(1) to the limited partnership for any damage caused to the\n\nlimited partnership arising from the obligation incurred under\n\nsubsection (a) of this section; and\n\n(2) if a general partner or another person dissociated as a\n\ngeneral partner is liable for the obligation, to the general partner\n\nor other person for any damage caused to the general partner or\n\nother person arising from the liability.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"e9723af00c9a09e402f558f5186d90f3e9eb38bc047ce5b548eb3c4720fe3368","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-605a","next":"us-ok/okla.-stat.-tit.-54-54-500-607a"},"notice":"GroundRules: Original legal text.
