Stat. tit. 54, § 54-500-607A","heading":"Liability to other persons of person dissociated as","body":"general partner.\n\nLIABILITY TO OTHER PERSONS OF PERSON DISSOCIATED AS GENERAL\n\nPARTNER.\n\n(a) A person’s dissociation as a general partner does not of\n\nitself discharge the person’s liability as a general partner for an\n\nobligation of the limited partnership incurred before dissociation.\n\nExcept as otherwise provided in subsections (b) and (c) of this\n\nsection, the person is not liable for a limited partnership’s\n\nobligation incurred after dissociation.\n\n(b) A person whose dissociation as a general partner resulted\n\nin a dissolution and winding up of the limited partnership’s\n\nactivities is liable to the same extent as a general partner under\n\nSection 38 of this act on an obligation incurred by the limited\n\npartnership under Section 66 of this act.\n\n(c) A person that has dissociated as a general partner but\n\nwhose dissociation did not result in a dissolution and winding up of\n\nthe limited partnership’s activities is liable on a transaction\n\nentered into by the limited partnership after the dissociation only\n\nif:\n\n(1) a general partner would be liable on the transaction; and\n\n(2) at the time the other party enters into the transaction:\n\n(A) less than two (2) years has passed since the\n\ndissociation; and\n\n(B) the other party does not have notice of the\n\ndissociation and reasonably believes that the person\n\nis a general partner.\n\n(d) By agreement with a creditor of a limited partnership and\n\nthe limited partnership, a person dissociated as a general partner\n\nmay be released from liability for an obligation of the limited\n\npartnership.\n\n(e) A person dissociated as a general partner is released from\n\nliability for an obligation of the limited partnership if the\n\nlimited partnership’s creditor, with notice of the person’s\n\ndissociation as a general partner but without the person’s consent,\n\nagrees to a material alteration in the nature or time of payment of\n\nthe obligation.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"42a76aa2345714c07816865f8180a4350157676f8559487e8ba2f61f9b10f5f5","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-606a","next":"us-ok/okla.-stat.-tit.-54-54-500-701a"},"notice":"GroundRules: Original legal text.
