Stat. tit. 54, § 54-500-801A","heading":"Nonjudicial dissolution","body":"NONJUDICIAL DISSOLUTION.\n\nExcept as otherwise provided in Section 64 of this act, a\n\nlimited partnership is dissolved, and its activities must be wound\n\nup, only upon the occurrence of any of the following:\n\n(1) the happening of an event specified in the partnership\n\nagreement;\n\n(2) the consent of all general partners and of limited partners\n\nowning a majority of the rights to receive distributions as limited\n\npartners at the time the consent is to be effective;\n\n(3) after the dissociation of a person as a general partner:\n\n(A) if the limited partnership has at least one remaining\n\ngeneral partner, the consent to dissolve the limited\n\npartnership given within ninety (90) days after the\n\ndissociation by partners owning a majority of the\n\nrights to receive distributions as partners at the\n\ntime the consent is to be effective; or\n\n(B) if the limited partnership does not have a remaining\n\ngeneral partner, the passage of ninety (90) days after\n\nthe dissociation, unless before the end of the period:\n\n(i) consent to continue the activities of the limited\n\npartnership and admit at least one general\n\npartner is given by limited partners owning a\n\nmajority of the rights to receive distributions\n\nas limited partners at the time the consent is to\n\nbe effective; and\n\n(ii) at least one person is admitted as a general\n\npartner in accordance with the consent; or\n\n(4) the passage of ninety (90) days after the dissociation of\n\nthe limited partnership’s last limited partner, unless before the\n\nend of the period the limited partnership admits at least one\n\nlimited partner.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"ac267d456158640989d057e881d55323261740aa6a2acec143c2a06346c0877b","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-704a","next":"us-ok/okla.-stat.-tit.-54-54-500-802a"},"notice":"GroundRules: Original legal text.
