Stat. tit. 54, § 54-500-804A","heading":"Power of general partner and person dissociated as","body":"general partner to bind partnership after dissolution.\n\nPOWER OF GENERAL PARTNER AND PERSON DISSOCIATED AS GENERAL\n\nPARTNER TO BIND PARTNERSHIP AFTER DISSOLUTION.\n\n(a) A limited partnership is bound by a general partner’s act\n\nafter dissolution which:\n\n(1) is appropriate for winding up the limited partnership’s\n\nactivities; or\n\n(2) would have bound the limited partnership under Section 36\n\nof this act before dissolution, if, at the time the other party\n\nenters into the transaction, the other party does not have notice of\n\nthe dissolution.\n\n(b) A person dissociated as a general partner binds a limited\n\npartnership through an act occurring after dissolution if:\n\n(1) at the time the other party enters into the transaction:\n\n(A) less than two (2) years has passed since the\n\ndissociation; and\n\n(B) the other party does not have notice of the\n\ndissociation and reasonably believes that the person\n\nis a general partner; and\n\n(2) the act:\n\n(A) is appropriate for winding up the limited\n\npartnership’s activities; or\n\n(B) would have bound the limited partnership under Section\n\n36 of this act before dissolution and at the time the\n\nother party enters into the transaction the other\n\nparty does not have notice of the dissolution.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"af9e4b8a3ed06576bf92c839b9c7e5b1e1e243f866eb14f0fc185175cb379ee3","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-803a","next":"us-ok/okla.-stat.-tit.-54-54-500-805a"},"notice":"GroundRules: Original legal text.
