Stat. tit. 54, § 54-500-805A","heading":"Liability after dissolution of general partner and","body":"person dissociated as general partner to limited partnership - Other\n\ngeneral partners - Persons dissociated as general partner.\n\nLIABILITY AFTER DISSOLUTION OF GENERAL PARTNER AND PERSON\n\nDISSOCIATED AS GENERAL PARTNER TO LIMITED PARTNERSHIP, OTHER GENERAL\n\nPARTNERS, AND PERSONS DISSOCIATED AS GENERAL PARTNER.\n\n(a) If a general partner having knowledge of the dissolution\n\ncauses a limited partnership to incur an obligation under subsection\n\n(a) of Section 66 of this act by an act that is not appropriate for\n\nwinding up the partnership’s activities, the general partner is\n\nliable:\n\n(1) to the limited partnership for any damage caused to the\n\nlimited partnership arising from the obligation; and\n\n(2) if another general partner or a person dissociated as a\n\ngeneral partner is liable for the obligation, to that other general\n\npartner or person for any damage caused to that other general\n\npartner or person arising from the liability.\n\n(b) If a person dissociated as a general partner causes a\n\nlimited partnership to incur an obligation under subsection (b) of\n\nSection 66 of this act, the person is liable:\n\n(1) to the limited partnership for any damage caused to the\n\nlimited partnership arising from the obligation; and\n\n(2) if a general partner or another person dissociated as a\n\ngeneral partner is liable for the obligation, to the general partner\n\nor other person for any damage caused to the general partner or\n\nother person arising from the liability.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"6b1ca5a593c363ca1202555f2c609d29440c338372a40c31e51112323c91b061","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-804a","next":"us-ok/okla.-stat.-tit.-54-54-500-806a"},"notice":"GroundRules: Original legal text.
