Stat. tit. 54, § 54-500-806A","heading":"Known claims against dissolved limited partnership","body":"KNOWN CLAIMS AGAINST DISSOLVED LIMITED PARTNERSHIP.\n\n(a) A dissolved limited partnership may dispose of the known\n\nclaims against it by following the procedure described in subsection\n\n(b) of this section.\n\n(b) A dissolved limited partnership may notify its known\n\nclaimants of the dissolution in a record. The notice must:\n\n(1) specify the information required to be included in a claim;\n\n(2) provide a mailing address to which the claim is to be sent;\n\n(3) state the deadline for receipt of the claim, which may not\n\nbe less than one hundred twenty (120) days after the date the notice\n\nis received by the claimant;\n\n(4) state that the claim will be barred if not received by the\n\ndeadline; and\n\n(5) unless the limited partnership has been throughout its\n\nexistence a limited liability limited partnership, state that the\n\nbarring of a claim against the limited partnership will also bar any\n\ncorresponding claim against any general partner or person\n\ndissociated as a general partner which is based on Section 38 of\n\nthis act.\n\n(c) A claim against a dissolved limited partnership is barred\n\nif the requirements of subsection (b) are met and:\n\n(1) the claim is not received by the specified deadline; or\n\n(2) in the case of a claim that is timely received but rejected\n\nby the dissolved limited partnership, the claimant does not commence\n\nan action to enforce the claim against the limited partnership\n\nwithin ninety (90) days after the receipt of the notice of the\n\nrejection.\n\n(d) This section does not apply to a claim based on an event\n\noccurring after the effective date of dissolution or a liability\n\nthat is contingent on that date.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"0e769eef6c24ffce5591af9c96a1dcfcd6b902598e4a1753ac421f742fb8960d","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-805a","next":"us-ok/okla.-stat.-tit.-54-54-500-807a"},"notice":"GroundRules: Original legal text.
