Stat. tit. 54, § 54-500-807A","heading":"Other claims against dissolved limited partnership","body":"OTHER CLAIMS AGAINST DISSOLVED LIMITED PARTNERSHIP.\n\n(a) A dissolved limited partnership may publish notice of its\n\ndissolution and request persons having claims against the limited\n\npartnership to present them in accordance with the notice.\n\n(b) The notice must:\n\n(1) be published at least once in a newspaper of general\n\ncirculation in the county in which the dissolved limited\n\npartnership’s principal office is located or, if it has none in this\n\nstate, in the county in which the limited partnership’s designated\n\noffice is or was last located;\n\n(2) describe the information required to be contained in a\n\nclaim and provide a mailing address to which the claim is to be\n\nsent;\n\n(3) state that a claim against the limited partnership is\n\nbarred unless an action to enforce the claim is commenced within\n\nfive (5) years after publication of the notice; and\n\n(4) unless the limited partnership has been throughout its\n\nexistence a limited liability limited partnership, state that the\n\nbarring of a claim against the limited partnership will also bar any\n\ncorresponding claim against any general partner or person\n\ndissociated as a general partner which is based on Section 38 of\n\nthis act.\n\n(c) If a dissolved limited partnership publishes a notice in\n\naccordance with subsection (b) of this section, the claim of each of\n\nthe following claimants is barred unless the claimant commences an\n\naction to enforce the claim against the dissolved limited\n\npartnership within five (5) years after the publication date of the\n\nnotice:\n\n(1) a claimant that did not receive notice in a record under\n\nSection 68 of this act;\n\n(2) a claimant whose claim was timely sent to the dissolved\n\nlimited partnership but not acted on; and\n\n(3) a claimant whose claim is contingent or based on an event\n\noccurring after the effective date of dissolution.\n\n(d) A claim not barred under this section may be enforced:\n\n(1) against the dissolved limited partnership, to the extent of\n\nits undistributed assets;\n\n(2) if the assets have been distributed in liquidation, against\n\na partner or transferee to the extent of that person’s proportionate\n\nshare of the claim or the limited partnership’s assets distributed\n\nto the partner or transferee in liquidation, whichever is less, but\n\na person’s total liability for all claims under this paragraph does\n\nnot exceed the total amount of assets distributed to the person as\n\npart of the winding up of the dissolved limited partnership; or\n\n(3) against any person liable on the claim under Section 38 of\n\nthis act.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"c3438b9bbdc3a1d9b407e59361b09ace9960bbaaa84354212b8786abe3f15d13","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-806a","next":"us-ok/okla.-stat.-tit.-54-54-500-808a"},"notice":"GroundRules: Original legal text.
