Stat. tit. 54, § 54-500-810A","heading":"Reinstatement after cessation of good standing","body":"REINSTATEMENT AFTER CESSATION OF GOOD STANDING.\n\n(a) A limited partnership that has ceased to be in good\n\nstanding may apply to the Secretary of State for reinstatement after\n\nthe date it ceased to be in good standing. The application must be\n\ndelivered to the Secretary of State for filing and state:\n\n(1) the name of the limited partnership and the date it ceased\n\nto be in good standing;\n\n(2) that the grounds for cessation of good standing either did\n\nnot exist or have been eliminated; and\n\n(3) that the limited partnership’s name satisfies the\n\nrequirements of Section 8 of this act.\n\nIf the limited partnership ceased to be in good standing because\n\nit failed to file an annual certificate or pay a required fee, the\n\napplication shall be accompanied with the submission of all\n\ndelinquent annual certificates and payment of all delinquent fees.\n\n(b) If the Secretary of State determines that an application\n\ncontains the information required by subsection (a) of this section,\n\nthe application is accompanied by all required certificates and\n\nfees, the name satisfies the requirements of Section 8 of this act,\n\nand that the information is correct, the Secretary of State shall\n\naccept the application for reinstatement and issue a certificate of\n\nreinstatement. The application for reinstatement may be accompanied\n\nby an amendment to the limited partnership’s certificate of limited\n\npartnership. If the limited partnership is required to change its\n\nname because its name at the time it ceased to be in good standing\n\nis no longer available, the application for reinstatement must be\n\naccompanied by an amendment to the limited partnership’s certificate\n\nof limited partnership changing its name. Any amendment is subject\n\nto the payment of the additional fee required in Section 24 of this\n\nact for amendments.\n\n(c) When reinstatement becomes effective, it relates back to\n\nand takes effect as of the date the limited partnership ceased to be\n\nin good standing and the limited partnership may resume its\n\nactivities as if the cessation of good standing had never occurred.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"d91e368258707732dc3078b4ce814c4c64443a826547ff4c5e1e7ef05c3a6d9c","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-809a","next":"us-ok/okla.-stat.-tit.-54-54-500-811a"},"notice":"GroundRules: Original legal text.
