Stat. tit. 54, § 54-500-902A","heading":"Application for certificate of authority","body":"APPLICATION FOR CERTIFICATE OF AUTHORITY.\n\n(a) A foreign limited partnership may apply for a certificate\n\nof authority to transact business in this state by delivering an\n\napplication to the Secretary of State for filing. The application\n\nmust state:\n\n(1) the name of the foreign limited partnership and, if the\n\nname does not comply with Section 8 of this act, a fictitious name\n\nadopted pursuant to subsection (a) of Section 79 of this act.\n\n(2) the name of the state or other jurisdiction under whose law\n\nthe foreign limited partnership is organized;\n\n(3) the street and mailing address of the foreign limited\n\npartnership’s principal office and, if the laws of the jurisdiction\n\nunder which the foreign limited partnership is organized require the\n\nforeign limited partnership to maintain an office in that\n\njurisdiction, the street and mailing address of the required office;\n\n(4) the name and street and mailing address of the foreign\n\nlimited partnership’s initial agent for service of process in this\n\nstate;\n\n(5) a statement that the Secretary of State is appointed the\n\nagent of the foreign limited partnership for service of process if\n\nno agent has been appointed pursuant to paragraph (4) of this\n\nsubsection or, if appointed, the agent’s authority has been revoked\n\nor if the agent cannot be found or served with the exercise of\n\nreasonable diligence;\n\n(6) the name and street and mailing address of each of the\n\nforeign limited partnership’s general partners; and\n\n(7) whether the foreign limited partnership is a foreign\n\nlimited liability limited partnership.\n\n(b) A foreign limited partnership shall deliver with the\n\ncompleted application a certificate of good standing or existence or\n\na record of similar import signed by the Secretary of State or other\n\nofficial having custody of the foreign limited partnership’s\n\npublicly filed records in the state or other jurisdiction under\n\nwhose law the foreign limited partnership is organized.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"473e5b3979f7f1a24dcc0847f0c4629036446b5179ed96e64bfd77fd8f7902d2","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-901a","next":"us-ok/okla.-stat.-tit.-54-54-500-903a"},"notice":"GroundRules: Original legal text.
