Stat. tit. 54, § 54-500-903A","heading":"Activities not constituting transacting business","body":"ACTIVITIES NOT CONSTITUTING TRANSACTING BUSINESS.\n\n(a) Activities of a foreign limited partnership which do not\n\nconstitute transacting business in this state within the meaning of\n\nthis article include:\n\n(1) maintaining, defending, and settling an action or\n\nproceeding;\n\n(2) holding meetings of its partners or carrying on any other\n\nactivity concerning its internal affairs;\n\n(3) maintaining accounts in financial institutions;\n\n(4) maintaining offices or agencies for the transfer, exchange,\n\nand registration of the foreign limited partnership’s own securities\n\nor maintaining trustees or depositories with respect to those\n\nsecurities;\n\n(5) selling through independent contractors;\n\n(6) soliciting or obtaining orders, whether by mail or\n\nelectronic means or through employees or agents or otherwise, if the\n\norders require acceptance outside this state before they become\n\ncontracts;\n\n(7) creating or acquiring indebtedness, mortgages, or security\n\ninterests in real or personal property;\n\n(8) securing or collecting debts or enforcing mortgages or\n\nother security interests in property securing the debts, and\n\nholding, protecting, and maintaining property so acquired;\n\n(9) conducting an isolated transaction that is completed within\n\nthirty (30) days and is not one in the course of similar\n\ntransactions of a like manner; and\n\n(10) transacting business in interstate commerce.\n\n(b) For purposes of this article, the ownership in this state\n\nof income-producing real property or tangible personal property,\n\nother than property excluded under subsection (a) of this section,\n\nconstitutes transacting business in this state.\n\n(c) This section does not apply in determining the contacts or\n\nactivities that may subject a foreign limited partnership to service\n\nof process, taxation, or regulation under any other law of this\n\nstate.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"2f62cba2e4460901ed1488e1dc6999a0f7e58a4244f3da77e3f6d05d51ef7fbe","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-902a","next":"us-ok/okla.-stat.-tit.-54-54-500-904a"},"notice":"GroundRules: Original legal text.
