Stat. tit. 54, § 54-500-907A","heading":"Cancellation of certificate of authority - Effect of","body":"failure to have certificate.\n\nCANCELLATION OF CERTIFICATE OF AUTHORITY; EFFECT OF FAILURE TO\n\nHAVE CERTIFICATE.\n\n(a) In order to cancel its certificate of authority to transact\n\nbusiness in this state, a foreign limited partnership must deliver\n\nto the Secretary of State for filing a notice of cancellation\n\nstating its name, jurisdiction of formation, and address for service\n\nof process. The certificate is canceled when the notice becomes\n\neffective under Section 24 of this act.\n\n(b) A foreign limited partnership transacting business in this\n\nstate may not maintain an action or proceeding in this state unless\n\nit has a certificate of authority to transact business in this\n\nstate.\n\n(c) The failure of a foreign limited partnership to have a\n\ncertificate of authority to transact business in this state does not\n\nimpair the validity of a contract or act of the foreign limited\n\npartnership or prevent the foreign limited partnership from\n\ndefending an action or proceeding in this state.\n\n(d) A partner of a foreign limited partnership is not liable\n\nfor the obligations of the foreign limited partnership solely by\n\nreason of the foreign limited partnership’s having transacted\n\nbusiness in this state without a certificate of authority.\n\n(e) If a foreign limited partnership transacts business in this\n\nstate without a certificate of authority or cancels its certificate\n\nof authority, it appoints the Secretary of State as its agent for\n\nservice of process for rights of action arising out of the\n\ntransaction of business in this state.","path":["OK Code","Title 54"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os54.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"363e0636f617acf68695890c663bfc523ae478f6919ec7bfd43ec3df1e714503","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-54-54-500-906a","next":"us-ok/okla.-stat.-tit.-54-54-500-908a"},"notice":"GroundRules: Original legal text.
