Stat. tit. 59, § 59-46.9v1","heading":"Practice through partnership, firm, association,","body":"corporation, limited liability company or limited liability\n\npartnership - Certificates of authority or title - Foreign entities\n\n- Registration of trade name or service mark.\n\nA. The practice of architecture or landscape architecture or\n\noffering to practice these professions for others by persons\n\nlicensed under this act through a partnership, corporation, limited\n\nliability company or limited liability partnership as directors,\n\npartners, officers, shareholders, managers, members or principals is\n\npermitted, subject to the provisions of the State Architectural and\n\nRegistered Commercial Interior Designers Act, provided:\n\n1. One or more of the directors, partners, officers,\n\nshareholders, managers, members or principals of said partnership,\n\ncorporation, limited liability company or limited liability\n\npartnership is legally responsible for the entity of said\n\npartnership, corporation, limited liability company or limited\n\nliability partnership;\n\n2. Such director, partner, officer, shareholder, manager,\n\nmember or principal is duly licensed under the State Architectural\n\nand Registered Commercial Interior Designers Act; and\n\n3. Said partnership, corporation, limited liability company or\n\nlimited liability partnership has been issued a certificate of\n\nauthority by the Board.\n\nB. The Board shall have the power to issue, revoke, deny, or\n\nrefuse to renew a certificate of authority for a partnership,\n\ncorporation, limited liability company or limited liability\n\npartnership as provided for in the State Architectural and\n\nRegistered Commercial Interior Designers Act.\n\nC. A partnership, corporation, limited liability company or\n\nlimited liability partnership desiring to practice architecture or\n\nlandscape architecture shall file with the Board an application for\n\na certificate of authority, and pay all fees, for each office\n\nlocation performing work on Oklahoma projects on a form approved by\n\nthe Board which shall include the names, addresses, state of\n\nlicensure and license number of all partners, directors, officers,\n\nmembers, managers or principals of the partnership, corporation,\n\nlimited liability company or limited liability partnership legally\n\nresponsible for the entity's practice. The form shall name an\n\nindividual having the practice of architecture in such person's\n\ncharge who is a director, partner, officer, member, manager or\n\nprincipal. The person shall be duly licensed as an architect to\n\npractice architecture or licensed as a landscape architect to\n\npractice landscape architecture in this state through said\n\npartnership, corporation, limited liability company or limited\n\nliability partnership legally responsible for the entity's practice\n\nor services offered and other information required by the Board. In\n\nthe event there shall be a change in any of these persons during the\n\nterm of the certification, such change shall be filed with the Board\n\nwithin thirty (30) days after the effective date of said change. If\n\nall of the requirements of this section and the Board's current\n\nrules have been met, the Board shall issue a certificate of\n\nauthority to such partnership, corporation, limited liability\n\ncompany or limited liability partnership.\n\nD. Any other person licensed pursuant to the State\n\nArchitectural and Registered Commercial Interior Designers Act, not\n\npracticing these professions as a partnership, corporation, limited\n\nliability company or limited liability partnership, shall practice\n\nas an individual.\n\nE. No such partnership, corporation, limited liability company\n\nor limited liability partnership shall be relieved of responsibility\n\nfor the conduct or acts of its agents, employees, partners,\n\ndirectors, officers, managers, members or principals by reason of\n\nits compliance with the provisions of this section, or shall any\npany or limited liability partnership, shall practice\n\nas an individual.\n\nE. No such partnership, corporation, limited liability company\n\nor limited liability partnership shall be relieved of responsibility\n\nfor the conduct or acts of its agents, employees, partners,\n\ndirectors, officers, managers, members or principals by reason of\n\nits compliance with the provisions of this section, or shall any\n\nindividual practicing these professions be relieved of\n\nresponsibility for professional services performed as an individual\n\nby reason of such person's employment or relationship with such\n\npartnership, corporation, limited liability company or limited\n\nliability partnership.\n\nF. The Secretary of State shall not issue a certificate of\n\nincorporation or register a foreign corporation or any other entity\n\nwhich includes among the objectives for which it is established any\n\nof the words \"Architect\", \"Architectural\", \"Architecture\",\n\n\"Landscape Architect\", \"Landscape Architecture\" or any modification\n\nor derivation of these words, unless the Board has issued for said\n\napplicant either a certificate of authority for an entity, or a\n\nletter indicating eligibility for an exemption pursuant to the State\n\nArchitectural and Registered Commercial Interior Designers Act. The\n\nentity applying shall supply such certificate or letter from the\n\nBoard with its application for incorporation or registration.\n\nG. The Secretary of State shall not register any trade name or\n\nservice mark which includes such words, as set forth in subsection F\n\nof this section, or modifications or derivatives thereof in its firm\n\nname or logotype except those entities or individuals holding\n\ncertificates of authority issued under the provisions of this\n\nsection or letters of eligibility issued by the Board.\n\nH. The use of the title \"Registered Commercial Interior\n\nDesigner\" by a partnership, corporation, limited liability company\n\nor limited liability partnership is allowed to those entities\n\nlisted, provided:\n\n1. One or more of the directors, partners, officers,\n\nshareholders, members, managers or principals is registered with the\n\nBoard as a registered commercial interior designer and is in good\n\nstanding with the Board; and\n\n2. The partnership, corporation, limited liability company or\n\nlimited liability partnership has been issued a certificate of title\n\nby the Board.\n\nI. The Board shall have the power to issue, revoke, deny or\n\nrefuse to renew a certificate of title for a partnership,\n\ncorporation, limited liability company or limited liability\n\npartnership as provided for in the State Architectural and\n\nRegistered Commercial Interior Designers Act.\n\nJ. A partnership, corporation, limited liability company or\n\nlimited liability partnership shall file with the Board an\n\napplication for a certificate of title on a form approved by the\n\nBoard which shall include the names, addresses, state of\n\nregistration and registration number of all directors, partners,\n\nofficers, shareholders, members, managers, or principals of the\n\npartnership, corporation, limited liability company or limited\n\nliability partnership. In the event there shall be a replacement of\n\nany of these persons during the term of certification, the change\n\nshall be filed with the Board within thirty (30) days after the\n\neffective date of the change. If all the requirements of this\n\nsection, this act and the current rules of the Board have been met,\n\nthe Board shall issue a certificate of title to such partnership,\n\ncorporation, limited liability company or limited liability\n\npartnership.\n\nK. The Secretary of State shall not issue a certificate of\n\nincorporation or register a foreign corporation or any other entity\n\nwhich includes among the objectives for which it is established any\n\nof the words \"Registered Commercial Interior Designer\" or any\n\nmodification or derivation of these words, unless the Board has\ncorporation, limited liability company or limited liability\n\npartnership.\n\nK. The Secretary of State shall not issue a certificate of\n\nincorporation or register a foreign corporation or any other entity\n\nwhich includes among the objectives for which it is established any\n\nof the words \"Registered Commercial Interior Designer\" or any\n\nmodification or derivation of these words, unless the Board has\n\nissued for the applicant either a certificate of title for an\n\nentity, or a letter indicating the eligibility for an exemption\n\npursuant to the State Architectural and Registered Commercial\n\nInterior Designers Act. The firm applying shall supply such\n\ncertificate of title or letter from the Board with its application\n\nfor incorporation or registration.\n\nL. The Secretary of State shall not register any trade name or\n\nservice mark which includes such words as set forth in subsection K\n\nof this section, or modification or derivatives thereof in its firm\n\nname or logotype except those entities or individuals holding\n\ncertificates of title issued under the provisions of this section or\n\nletters of eligibility issued by the Board.\n\nM. Upon application for renewal and upon compliance with the\n\nprovisions of the State Architectural and Registered Commercial\n\nInterior Designers Act and the rules of the Board, a certificate of\n\ntitle shall be renewed as provided in this act.\n\nN.
