For purposes of this act:\n\n1. \"Franchisor\" means any person who grants a franchise and\n\nparticipates in the franchise relationship. Unless otherwise\n\nstated, it includes subfranchisors. For purposes of this\n\ndefinition, a \"subfranchisor\" means a person who functions as a\n\nfranchisor by engaging in both pre-sale activities and post-sale\n\nperformance;\n\n2. \"Franchisee\" means any person who is granted a franchise;\n\nand\n\n3. \"Franchise\" means any continuing commercial relationship or\n\narrangement, whatever it may be called, in which the terms of the\n\noffer or contract specify, or the franchise seller promises or\n\nrepresents, orally or in writing, that:\n\na. the franchisee will obtain the right to operate a\n\nbusiness that is identified or associated with the\n\nfranchisor's trademark, or to offer, sell or\n\ndistribute goods, services or commodities that are\n\nidentified or associated with the franchisor's\n\ntrademark,\n\nb. the franchisor will exert or has authority to exert a\n\nsignificant degree of control over the franchisee's\n\nmethod of operation, or provide significant assistance\n\nin the franchisee's method of operation, and\n\nc. as a condition of obtaining or commencing operation of\n\nthe franchise, the franchisee makes a required payment\n\nor commits to make a required payment to the\n\nfranchisor or its affiliate.\n\nB. A franchisor shall not be considered the employer of a\n\nfranchisee or a franchisee's employees.\n\nC.
