Upon approval of the Board, banks or\n\nsavings associations may be merged with or converted into a\n\nresulting state bank as hereafter prescribed, except that the action\n\nby a constituent national bank or federal savings association shall\n\nbe taken in the manner prescribed by and shall be subject to any\n\nlimitation or requirements imposed by any law of the United States\n\nwhich shall also govern the rights of its dissenting shareholders.\n\nB. Resulting National Bank. Nothing in the law of this state\n\nshall restrict the right of a state bank or state savings\n\nassociation to merge with or convert into a resulting national bank.\n\nThe action to be taken by a constituent state bank or state savings\n\nassociation and its rights and liabilities and those of its\n\nshareholders shall be the same as those prescribed for national\n\nbanks at the time of the action by the applicable laws of the United\n\nStates and not by the laws of this state.
