Subject to subsection B of this section, a directed trustee\n\nshall take reasonable action to comply with a trust director's\n\nexercise or nonexercise of a power of direction or further power\n\nunder paragraph 1 of subsection B of Section 7 of this act, and the\n\ntrustee is not liable for the action.\n\nB. A directed trustee must not comply with a trust director's\n\nexercise or nonexercise of a power of direction or further power\n\nunder paragraph 1 of subsection B of Section 7 of this act to the\n\nextent that by complying, the trustee would engage in willful\n\nmisconduct.\n\nC. An exercise of a power of direction under which a trust\n\ndirector may release a trustee or another trust director from\n\nliability for breach of trust is not effective if:\n\n1. The breach involved the trustee's or other director's\n\nwillful misconduct;\n\n2. The release was induced by improper conduct of the trustee\n\nor other director in procuring the release; or\n\n3. At the time of the release, the trust director did not know\n\nthe material facts relating to the breach.\n\nD. A directed trustee that has reasonable doubt about its duty\n\nunder this section may petition the district court for instructions.\n\nE.
