If, upon petition, the court finds that the settlor and all\n\nbeneficiaries consent to the modification or termination of a\n\nnoncharitable irrevocable trust, the court shall approve the\n\nmodification or termination even if the modification or termination\n\nis inconsistent with a material purpose of the trust. A settlor's\n\npower to consent to a trust's modification or termination may be\n\nexercised by an agent under a power of attorney only to the extent\n\nexpressly authorized by the power of attorney or the terms of the\n\ntrust; by the settlor's guardian of the property with the approval\n\nof the court supervising the guardianship if an agent is not so\n\nauthorized; or by the settlor's guardian of the person with the\n\napproval of the court supervising the guardianship if an agent is\n\nnot so authorized and a guardian of the property has not been\n\nappointed. This subsection does not apply to irrevocable trusts\n\ncreated before or to revocable trusts that become irrevocable before\n\nthe effective date of this act.\n\nB. A noncharitable irrevocable trust may be terminated upon\n\nconsent of all of the beneficiaries if the court concludes that\n\ncontinuance of the trust is not necessary to achieve any material\n\npurpose of the trust. A noncharitable irrevocable trust may be\n\nmodified upon consent of all of the beneficiaries if the court\n\nconcludes that modification is not inconsistent with a material\n\npurpose of the trust.\n\nC. A spendthrift provision in the terms of the trust is not\n\npresumed to constitute a material purpose of the trust.\n\nD. Upon termination of a trust under subsection A or B of this\n\nsection, the trustee shall distribute the trust property as agreed\n\nby the beneficiaries.\n\nE. If not all of the beneficiaries consent to a proposed\n\nmodification or termination of the trust under subsection A or B of\n\nthis section, the modification or termination may be approved by the\n\ncourt if the court is satisfied that:\n\n1. If all of the beneficiaries had consented, the trust could\n\nhave been modified or terminated under this section; and\n\n2.
