The Authority shall have the power to:\n\n1. Adopt bylaws and promulgate rules for the regulation of its\n\naffairs and the conduct of its business;\n\n2. Adopt an official seal;\n\n3. Maintain an office at the University Hospitals;\n\n4. Sue and be sued, subject to the provisions of The\n\nGovernmental Tort Claims Act;\n\n5. Establish rates of payment for hospital and clinical\n\nservices, which shall provide for exceptions and adjustments in\n\ncases where the recipients of services are unable to pay and for\n\nwhom no third party source of payment is available, and to establish\n\ndifferent rates of payment for indigent and nonindigent care;\n\n6. Enter into cooperative agreements with the Board of Regents\n\nof the University of Oklahoma for educational programs, professional\n\nstaffing, research and other medical activities and to pass through\n\nfunds appropriated by the Legislature consistent with past practice;\n\n7. Make and enter into all contracts necessary or incidental to\n\nthe performance of its duties and the execution of its powers\n\npursuant to the University Hospitals Authority Act;\n\n8. Purchase or lease equipment, furniture, materials and\n\nsupplies, and incur such other expenses as may be necessary to\n\nmaintain and operate the hospitals or clinics, or to discharge its\n\nduties and responsibilities or to make any of its powers effective;\n\n9. Acquire by purchase, lease, gift, or by any other manner,\n\nand to maintain, use and operate or to contract for the maintenance,\n\nuse and operation of or lease of any and all property of any kind,\n\nreal, personal, or mixed or any interest therein unless otherwise\n\nprovided by the University Hospitals Authority Act;\n\n10. Appoint such officers, agents and employees, including but\n\nnot limited to attorneys, architects and construction managers, as\n\nit deems necessary to operate and maintain the University Hospitals\n\nand to prescribe their duties and to fix their compensation;\n\n11. Accept grants from the United States of America, or from\n\nany corporation or agency created or designated by the United States\n\nof America, and, in connection with any such grant, to enter into\n\nsuch agreements as the United States of America or such corporation\n\nor agency may require;\n\n12. Make and issue bonds and to pledge revenues of the\n\nAuthority subject to the Oklahoma Bond Oversight and Reform Act.\n\nNothing in the University Hospitals Authority Act shall authorize\n\nthe issuance of any bonds of the Authority payable other than from\n\nrevenues of the University Hospitals. Funds appropriated to the\n\nUniversity Hospitals shall not be used for issuance of bonds.\n\nAuthority revenue bonds issued under the provisions of the\n\nUniversity Hospitals Authority Act shall not at any time be deemed\n\nto constitute a debt of the state or of any political subdivision\n\nthereof or a pledge of the faith and credit of the state or of any\n\npolitical subdivision, but such bonds shall be payable solely from\n\nthe funds herein provided. Such revenue bonds shall contain on the\n\nface thereof a statement to the effect that neither the state nor\n\nthe Authority shall be obligated to pay the same or the interest\n\nthereon except from the revenues of the project or projects for\n\nwhich they are issued and that neither the faith and credit nor the\n\ntaxing power of the state or any political subdivision thereof is\n\npledged, or may hereafter be pledged, to the payment of the\n\nprincipal of or the interest on such bonds. The maximum amount of\n\noutstanding bonds at any time shall not exceed Fifty Million Dollars\n\n($50,000,000.00) unless a greater amount is expressly approved by\n\nthe Legislature by a concurrent resolution adopted prior to\n\ncommencing any action in anticipation of issuance of revenue bonds\n\nof the University Hospitals Authority for the greater amount;\n\n13. Provide for complete financial audits on all accounts of\n\nthe University Hospitals Authority and to authorize periodic audits\non Dollars\n\n($50,000,000.00) unless a greater amount is expressly approved by\n\nthe Legislature by a concurrent resolution adopted prior to\n\ncommencing any action in anticipation of issuance of revenue bonds\n\nof the University Hospitals Authority for the greater amount;\n\n13. Provide for complete financial audits on all accounts of\n\nthe University Hospitals Authority and to authorize periodic audits\n\nby an independent external auditing agency. Such audits to be\n\nperformed annually in a format approved by the State Auditor and\n\nInspector and all such audits shall be submitted to the State\n\nAuditor and Inspector for review. Such audits shall be made in\n\naccordance with generally accepted auditing standards and government\n\nauditing standards. Financial statements shall be prepared in\n\naccordance with generally accepted accounting principles. In\n\naddition to said audits, the State Auditor and Inspector, whenever\n\nhe or she deems it appropriate, and at least once each five (5)\n\nyears, or upon receipt of a request to do so from the Governor, the\n\nAttorney General, the President Pro Tempore of the Senate, the\n\nSpeaker of the House of Representatives or the Authority shall\n\nconduct a special audit of the Authority and the University\n\nHospitals;\n\n14. Engage in long-term planning for the operation and\n\nmanagement of the University Hospitals;\n\n15. Establish petty cash funds and provide for appropriate\n\naccounting procedures and controls;\n\n16. Contract with national manufacturers, wholesalers and\n\ndistributors of equipment, drugs and medical supplies when\n\nappropriate to carry out the purposes of the University Hospitals\n\nAuthority Act;\n\n17. Do all other things necessary and proper to implement the\n\nprovisions of the University Hospitals Authority Act;\n\n18. Waive, by such means as the Authority deems appropriate,\n\nthe exemption from federal income taxation of interest on the\n\nAuthority's bonds provided by the Internal Revenue Code of 1986, as\n\namended, or any other federal statute providing a similar exemption;\n\n19. Arrange for guaranties or insurance of its bonds by the\n\nfederal government or by any private insurer, and to pay any\n\npremiums therefor; and\n\n20. Adopt policies for the disposal of surplus property.\n\nB. The University Hospitals Authority shall be subject to the\n\nOklahoma State Finance Act, Section 34 et seq. of Title 62 of the\n\nOklahoma Statutes.\n\nC. The Authority shall prepare monthly a \"budget vs. actual\"\n\nreport which shows by budget activity the monthly and year-to-date\n\nrevenues and expenditures compared to budgeted revenues and\n\nexpenditures. Such report shall be submitted upon request to the\n\nOffice of Management and Enterprise Services and to the Directors of\n\nthe House of Representatives Fiscal Division and the Senate Fiscal\n\nDivision.\n\nD. The Authority shall be subject to the professional risk\n\nmanagement program provided for in Section 85.58A of Title 74 of the\n\nOklahoma Statutes.\n\nE. The Authority may enter into contracts for construction and\n\nremodeling projects in accordance with applicable statutes and its\n\nown administrative rules. The Authority shall have the power to\n\nauthorize the demolition of any building owned by the Authority upon\n\na finding that the building is no longer suitable for the purposes\n\nfor which it was intended and that a renovation of the building is\n\nnot economically justifiable.\n\nF.
