There is hereby created the Oklahoma Health Care Authority\n\nBoard which shall consist of the following nine (9) members:\n\n1. Five members appointed by the Governor;\n\n2. Two members appointed by the Speaker of the House of\n\nRepresentatives; and\n\n3. Two members appointed by the President Pro Tempore of the\n\nSenate.\n\nB. Each member shall serve at the pleasure of his or her\n\nappointing authority and may be removed or replaced without cause.\n\nAny member of the Board shall be prohibited from voting on any issue\n\nin which the member has a direct financial interest. The\n\nAdministrator of the Oklahoma Health Care Authority shall be an ex\n\nofficio member of the Board, but shall be entitled to vote only in\n\ncase of a tie vote.\n\nC. The Board shall have the power and duty to:\n\n1. Establish the policies of the Oklahoma Health Care\n\nAuthority;\n\n2. Adopt and promulgate rules as necessary and appropriate to\n\ncarry out the duties and responsibilities of the Authority. The\n\nBoard shall be the rulemaking body for the Authority; and\n\n3. Adopt, publish and submit by January 1 of each year to the\n\nGovernor, the President Pro Tempore of the Senate, and the Speaker\n\nof the House of Representatives appropriate administrative policies\n\nand the business plan for that year. All actions governed by the\n\nadministrative policies and annual business plan shall be examined\n\nannually in an independent audit.\n\nD. A majority of the members of the Board shall constitute a\n\nquorum for the transaction of business and for taking any official\n\naction. Official action of the Board must have a favorable vote by\n\na majority of the members present.\n\nE. Members appointed pursuant to subsection A of this section\n\nshall serve without compensation but shall be reimbursed for\n\nexpenses incurred in the performance of their duties in accordance\n\nwith the State Travel Reimbursement Act.\n\nF.
