Stat. tit. 66, § 66-1","heading":"Articles and certificate","body":"Any number of persons, not less than five, may form a\n\ncorporation for the purpose of constructing, maintaining and\n\noperating a railroad for the transportation of freight and\n\npassengers, and for the purpose of maintaining and operating any\n\nrailroad already constructed for the like purpose, by making\n\narticles of organization in which shall be stated:\n\n1. Name - the name of the corporation.\n\n2. Termini - the place from and to which such railroad is to be\n\nconstructed, or maintained and operated, as the case may be.\n\n3. Length and route - the estimated length of such railroad and\n\nname of each county in this state through or into which it is made\n\nor intended to be made.\n\n4. Stock - the amount of the capital stock of the corporation,\n\nthe number of shares of which it shall consist, and if such stock\n\nshall consist of common and preferred stock, the number and amount\n\nof each class.\n\n5. Directors and their duty - the names and residences of the\n\ndirectors of the corporation, who shall manage its affairs for the\n\nfirst year, and until others are chosen in their places, and who\n\nshall be not less than five (5) nor more than thirteen (13) in\n\nnumber;\n\nand each such person shall subscribe thereto his name, place of\n\nresidence, and the number of shares of stock he agrees to take in\n\nsuch corporation. There shall be annexed to such articles an\n\naffidavit of at least three of the directors therein named, that the\n\nsignatures thereto are genuine, and that it is intended in good\n\nfaith to construct or maintain and operate the railroad therein\n\nmentioned; and thereupon said articles and affidavits shall be filed\n\nin the office of the Secretary of State, who shall endorse thereon\n\nthe date of their filing, and record the same. After such filing a\n\npatent under the seal of the state, signed by the Governor and\n\nSecretary of State, shall be issued in substantially the following\n\nform:\n\nTo all to whom these presents shall come, Greeting:\n\nWhereas (naming the person subscribing the articles of\n\norganization), have filed in the office of the Secretary of State\n\ncertain articles of organization with a view of forming a\n\ncorporation to be known as (here insert the name), and with a\n\ncapital of (here insert the amount), for the purpose of\n\nconstructing, maintaining and operating or maintaining and operating\n\nwith the provisions of the statutes in such cases made and provided;\n\ntherefore the State of Oklahoma hereby grants unto the above-named\n\npersons and their associates, successors and assigns, full authority\n\nprivileges of a corporation for the purpose above stated and in\n\naccordance with their said articles of organization and the laws of\n\nthis state.\n\nIn witness whereof these presents have been attested with the\n\ngreat seal and signed and countersigned by the Governor and\n\nGovernor.\n\nSecretary of State.\n\nUpon the issue of such patent, the subscribers to such articles,\n\nand all persons who shall hereafter become stockholders in such\n\ncorporation shall be a corporation by the name specified in such\n\narticles, and shall possess all the powers and privileges, and be\n\nsubject to all the provisions of the law regulating railroad\n\ncorporations and the provisions of this chapter applicable thereto.","path":["OK Code","Title 66"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os66.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"3196a8763e7cdb1526cf5f77dbefc40af1478aa427d153f5f384adb59e78a4d6","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-65-65-7-102","next":"us-ok/okla.-stat.-tit.-66-66-12"},"notice":"GroundRules: Original legal text.
