A security for which a registration statement has been filed\n\nunder the Securities Act of 1933 in connection with the same\n\noffering may be registered by coordination under this section.\n\nB. A registration statement under this section must contain or\n\nbe accompanied by the following records in addition to the\n\ninformation specified in Section 1-305 of this title and a consent\n\nto service of process complying with Section 1-611 of this title:\n\n1. A copy of the latest form of prospectus filed under the\n\nSecurities Act of 1933;\n\n2. A copy of the articles of incorporation and bylaws or their\n\nsubstantial equivalents currently in effect; a copy of any agreement\n\nwith or among underwriters; a copy of any indenture or other\n\ninstrument governing the issuance of the security to be registered;\n\nand a specimen, copy, or description of the security that is\n\nrequired by rule adopted or order issued under this act;\n\n3. Copies of any other information or any other records filed\n\nby the issuer under the Securities Act of 1933 requested by the\n\nAdministrator; and\n\n4. An undertaking to forward each amendment to the federal\n\nprospectus, other than an amendment that delays the effective date\n\nof the registration statement, promptly after it is filed with the\n\nSecurities and Exchange Commission and in any event not later than\n\nthe first business day after the day the amendment is forwarded to\n\nor filed with the Securities and Exchange Commission, whichever\n\nfirst occurs.\n\nC. A registration statement under this section becomes\n\neffective simultaneously with or subsequent to the federal\n\nregistration statement when all the following conditions are\n\nsatisfied:\n\n1. A stop order under subsection D of this section or Section\n\n1-306 of this title or issued by the Securities and Exchange\n\nCommission is not in effect and a proceeding is not pending against\n\nthe issuer under Section 1-306 of this title; and\n\n2. The registration statement has been on file for at least\n\ntwenty (20) days or a shorter period provided by rule adopted or\n\norder issued under this act.\n\nD. The registrant shall promptly notify the Administrator in a\n\nrecord of the date when the federal registration statement becomes\n\neffective and the content of any price amendment and shall promptly\n\nfile a record containing the price amendment. If the notice is not\n\ntimely received, the Administrator may issue a stop order, without\n\nprior notice or hearing, retroactively denying effectiveness to the\n\nregistration statement or suspending its effectiveness until\n\ncompliance with this section. The Administrator shall promptly\n\nnotify the registrant of the order by telegram, telephone, or\n\nelectronic means and promptly confirm this notice by a record. If\n\nthe registrant subsequently complies with the notice requirements of\n\nthis section, the stop order is void as of the date of its issuance.\n\nE. If the federal registration statement becomes effective\n\nbefore each of the conditions in this section is satisfied or is\n\nwaived by the Administrator, the registration statement is\n\nautomatically effective under this act when all the conditions are\n\nsatisfied or waived. If the registrant notifies the Administrator\n\nof the date when the federal registration statement is expected to\n\nbecome effective, the Administrator shall promptly notify the\n\nregistrant by telegram, telephone, or electronic means and promptly\n\nconfirm this notice by a record, indicating whether all the\n\nconditions are satisfied or waived and whether the Administrator\n\nintends the institution of a proceeding under Section 1-306 of this\n\ntitle.
