Except with respect to a federal covered investment adviser\n\ndescribed in subsection B of this section, it is unlawful for a\n\nfederal covered investment adviser to transact business in this\n\nstate as a federal covered investment adviser unless the federal\n\ncovered investment adviser complies with subsection C of this\n\nsection.\n\nB. The following federal covered investment advisers are not\n\nrequired to comply with subsection C of this section:\n\n1. A federal covered investment adviser without a place of\n\nbusiness in this state if its only clients in this state are:\n\na. federal covered investment advisers, investment\n\nadvisers registered under this act, and broker-dealers\n\nregistered under this act,\n\nb. institutional investors,\n\nc. bona fide preexisting clients whose principal places\n\nof residence are not in this state, or\n\nd. other clients specified by rule adopted or order\n\nissued under this act;\n\n2. A federal covered investment adviser without a place of\n\nbusiness in this state if the person has had, during the preceding\n\ntwelve (12) months, not more than five clients that are residents in\n\nthis state in addition to those specified under paragraph 1 of this\n\nsubsection; and\n\n3. Any other person excluded by rule adopted or order issued\n\nunder this act.\n\nC. A person acting as a federal covered investment adviser, not\n\nexcluded under subsection B of this section, shall file a notice\n\ncontaining a consent to service of process complying with Section 1-\n\n611 of this title, such records as have been filed with the\n\nSecurities and Exchange Commission under the Investment Advisers Act\n\nof 1940 required by rule or order under this act, and the fee\n\nspecified in Section 1-612 of this title.\n\nD.
