It is unlawful and shall be deemed a Class C2 felony offense\n\nfor a person that advises others, for compensation, either directly\n\nor indirectly, or through publications or writings, as to the value\n\nof securities or the advisability of investing in, purchasing or\n\nselling securities, or that, for compensation and as part of a\n\nregular business, issues or promulgates analyses or reports\n\nconcerning securities:\n\n1. To employ a device, scheme, or artifice to defraud another\n\nperson;\n\n2. To make an untrue statement of a material fact or to omit to\n\nstate a material fact necessary in order to make the statement made,\n\nin the light of the circumstances under which it is made, not\n\nmisleading; or\n\n3. To engage in an act, practice, or course of business that\n\noperates or would operate as a fraud or deceit upon another person.\n\nB. 1. A rule adopted under this act may define an act,\n\npractice, or course of business of an investment adviser or an\n\ninvestment adviser representative as fraudulent, deceptive or\n\nmanipulative, and prescribe means reasonably designed to prevent\n\ninvestment advisers and investment adviser representatives from\n\nengaging in acts, practices, and courses of business defined as\n\nfraudulent, deceptive, or manipulative.\n\n2.
