Sections 1-301 and 1-302, subsection A of Section 1-401,\n\nsubsection A of Section 1-402, subsection A of Section 1-403,\n\nsubsection A of Section 1-404, and Sections 1-501, 1-506, 1-509 and\n\n1-510 of this title do not apply to a person that sells or offers to\n\nsell a security unless the offer to sell or the sale is made in this\n\nstate or the offer to purchase or the purchase is made and accepted\n\nin this state.\n\nB. Subsection A of Section 1-401, subsection A of Section 1-\n\n402, subsection A of Section 1-403, subsection A of Section 1-404,\n\nand Sections 1-501, 1-506, 1-509 and 1-510 of this title do not\n\napply to a person that purchases or offers to purchase a security\n\nunless the offer to purchase or the purchase is made in this state\n\nor the offer to sell or the sale is made and accepted in this state.\n\nC. For the purpose of this section, an offer to sell or to\n\npurchase a security is made in this state, whether or not either\n\nparty is then present in this state, if the offer:\n\n1. Originates from within this state; or\n\n2. Is directed by the offeror to a place in this state and\n\nreceived at the place to which it is directed.\n\nD. For the purpose of this section, an offer to purchase or to\n\nsell is accepted in this state, whether or not either party is then\n\npresent in this state, if the acceptance:\n\n1. Is communicated to the offeror in this state and the offeree\n\nreasonably believes the offeror to be present in this state and the\n\nacceptance is received at the place in this state to which it is\n\ndirected; and\n\n2. Has not previously been communicated to the offeror, orally\n\nor in a record, outside this state.\n\nE. An offer to sell or to purchase is not made in this state\n\nwhen a publisher circulates or there is circulated on the\n\npublisher's behalf in this state a bona fide newspaper or other\n\npublication of general, regular, and paid circulation that is not\n\npublished in this state, or that is published in this state but has\n\nhad more than two thirds of its circulation outside this state\n\nduring the previous twelve (12) months or when a radio or television\n\nprogram or other electronic communication originating outside this\n\nstate is received in this state. A radio or television program or\n\nother electronic communication is considered as having originated in\n\nthis state if either the broadcast studio or the originating source\n\nof transmission is located in this state, unless:\n\n1. The program or communication is syndicated and distributed\n\nfrom outside this state for redistribution to the general public in\n\nthis state;\n\n2. The program or communication is supplied by a radio,\n\ntelevision, or other electronic network with the electronic signal\n\noriginating from outside this state for redistribution to the\n\ngeneral public in this state;\n\n3. The program or communication is an electronic communication\n\nthat originates outside this state and is captured for\n\nredistribution to the general public in this state by a community\n\nantenna or cable, radio, cable television, or other electronic\n\nsystem; or\n\n4. The program or communication consists of an electronic\n\ncommunication that originates in this state, but which is not\n\nintended for distribution to the general public in this state.\n\nF.
