Stat. tit. 71, § 71-417","heading":"Discrimination prohibited","body":"No offeror shall make a multinational corporation take-over bid\n\nwhich is not made to all holders residing in this state of the\n\nequity security that is the subject of such multinational\n\ncorporation take-over bid, or which is not made to such holders on\n\nthe same terms as such multinational corporation take-over bid is\n\nmade to holders of such equity security not residing in this state.\n\nIf an offeror makes a tender offer or request or invitation for\n\ntenders for less than all the outstanding equity securities of a\n\nclass, and if a greater number of securities is deposited pursuant\n\nthereto within ten (10) days after copies of the offer or request or\n\ninvitation for tenders are first published or sent or given to\n\nsecurity holders that such offeror is bound or willing to take up\n\nand pay for, the securities shall be taken up as nearly as may be\n\npro rata, disregarding fractions, according to the number of\n\nsecurities deposited by each offeree. This section shall apply to\n\nsecurities deposited within ten (10) days after notice of an\n\nincrease in the consideration offered to security holders, as\n\ndescribed in this section, is first published or sent or given to\n\nsecurity holders.
