Stat. tit. 71, § 71-455","heading":"Fraudulent, deceptive and manipulative acts prohibited","body":"It is unlawful and shall be deemed a Class D1 felony offense for\n\nany offeror or target company or any controlling person of an\n\nofferor or target company or any broker-dealer acting on behalf of\n\nan offeror or target company to engage in any fraudulent, deceptive\n\nor manipulative acts or practices in connection with a take-over\n\noffer. Fraudulent, deceptive and manipulative acts or practices\n\ninclude without limitation:\n\n1. The publication or use in connection with the offer of any\n\nfalse statement of a material fact or the omission to state a\n\nmaterial fact necessary to make the statements made not misleading;\n\n2. The sale by any controlling shareholders of a target company\n\nof any or all of their equity securities to the offeror for a\n\nconsideration greater than that to be paid other shareholders\n\npursuant to the take-over offer or the purchase of any of the\n\nsecurities of a controlling shareholder of the target company by the\n\nofferor for a consideration greater than that to be paid other\n\nshareholders, the terms of which are not disclosed to the other\n\nshareholders;\n\n3. The refusal by a target company to permit an offeror who is\n\na shareholder of record to examine its list of shareholders, and to\n\nmake extracts therefrom, pursuant to the applicable corporation\n\nstatutes, for the purpose of making a take-over offer in compliance\n\nwith this act, or in lieu thereof, to mail any solicitation\n\nmaterials published by the offeror to its security holders with\n\nreasonable promptness after receipt from the offeror of such\n\nmaterials together with the reasonable expenses of postage and\n\nhandling; and\n\n4.
