Stat. tit. 74, § 74-5060.26","heading":"Creation of private, not-for-profit corporation -","body":"Powers - Certificate of incorporation and bylaws.\n\nA. A private, not-for-profit corporation may be organized\n\npursuant to the provisions of Title 18 of the Oklahoma Statutes and\n\nthe provisions of this act to develop the Industrial Extension\n\nSystem in Oklahoma, with a special emphasis on minority business\n\nenterprises. Such corporation, upon certification by Oklahoma\n\nFutures, shall be known as and may exercise all of the powers of\n\nOAME.\n\nB. In addition to the provisions and requirements of Title 18\n\nof the Oklahoma Statutes, the certificate of incorporation and the\n\nbylaws of OAME must be certified by Oklahoma Futures and the\n\ncertificate of incorporation shall:\n\n1. Designate the name of the corporation as the Oklahoma\n\nAlliance for Manufacturing Excellence, Inc.;\n\n2. Provide that the exclusive purposes of OAME are public\n\npurposes to assist small and medium-sized manufacturing firms, with\n\na special emphasis on minority business enterprises, to gain the\n\nability, through education, technology transfer, and otherwise, to\n\ncompete successfully at progressively higher levels of value-added\n\nin the national and international economy;\n\n3. Provide for the following three classes of membership in\n\nOAME which shall have representation on the Board of Directors of\n\nOAME:\n\na. one class composed of small and medium-sized\n\nmanufacturing firms located in Oklahoma, and the\n\ncertificate of incorporation shall provide for the\n\nqualifications for membership in such class,\n\nb. one class composed of large corporations, and the\n\ncertificate of incorporation shall provide for the\n\nqualifications for membership in such class, and\n\nc. one class composed of state entities, including, but\n\nnot limited to, the Oklahoma Center for the\n\nAdvancement of Science and Technology, the Oklahoma\n\nDepartment of Commerce, the Oklahoma Department of\n\nCareer and Technology Education, and the Oklahoma\n\nState Regents for Higher Education;\n\n4. Provide for classes of associate membership which shall not\n\nhave representation on the Board of Directors of OAME, except as\n\nprovided in paragraph 5 of this subsection;\n\n5. Provide that the Board of Directors of OAME shall consist of\n\nnine representatives of members who shall be individuals elected at\n\nthe first annual meeting of OAME by members of the class composed of\n\nsmall and medium-sized manufacturing firms, and four representatives\n\nof members who shall be individuals elected at the first annual\n\nmeeting of OAME by members of the class composed of large\n\ncorporations. The Board of Directors also shall include the\n\nfollowing state governmental representatives as ex officio members:\n\nthe Executive Director of the Oklahoma Center for the Advancement of\n\nScience and Technology, a designee from the Oklahoma Department of\n\nCommerce, and a designee from the Oklahoma Department of Career and\n\nTechnology Education (CareerTech). The bylaws of OAME may provide\n\nfor designees who may serve in the place of any of the directors and\n\nthe terms under which any such designation will be made. The Board\n\nof Directors shall have the power to elect, from time to time,\n\npersons to serve as directors who are associate members or are not\n\naffiliated with any entity or firm which qualifies for membership in\n\nOAME, provided that no more than one such person shall serve on the\n\nBoard of Directors at any time;\n\n6. Have the authority to set membership dues in an amount to be\n\ndetermined by the Board of Directors. No participating state entity\n\nshall pay membership dues;\n\n7. Provide for all powers necessary or appropriate to carry out\n\nand effectuate its corporate purposes, including, but not limited\n\nto, the following:\n\na. to maintain an office at such place or places as it\n\nmay designate,\n\nb. to make and execute contracts with any individual,\n\ncorporation, association or any other entity and all\nhip dues;\n\n7. Provide for all powers necessary or appropriate to carry out\n\nand effectuate its corporate purposes, including, but not limited\n\nto, the following:\n\na. to maintain an office at such place or places as it\n\nmay designate,\n\nb. to make and execute contracts with any individual,\n\ncorporation, association or any other entity and all\n\nother instruments necessary or convenient for the\n\nperformance of its duties and the exercise of its\n\npowers and functions under this act,\n\nc. to receive funds from any source to carry out the\n\npurposes of this act, including, but not limited to,\n\ngifts or grants from any department, agency or\n\ninstrumentality of the United States or of the state\n\nfor any purpose consistent with the provisions of this\n\nact,\n\nd. to acquire or sell, convey, lease, exchange, transfer\n\nor otherwise dispose of its property or any interest\n\ntherein,\n\ne. to develop plans and policies to assist small and\n\nmedium-sized manufacturing companies in Oklahoma,\n\nf. to enter into contracts to provide assistance to small\n\nand medium-sized manufacturing companies, including,\n\nbut not limited to, the following categories:\n\n(1) technology,\n\n(2) human resources development,\n\n(3) market planning,\n\n(4) finance, and\n\n(5) inter-firm collaboration,\n\ng. to assist other organizations providing general\n\nbusiness assistance to small and medium-sized\n\nmanufacturing enterprises,\n\nh. to establish manufacturing quality and standards\n\ncertification programs, setting minimum standards and\n\nissuing certification to companies meeting such\n\nstandards,\n\ni. to develop and distribute information about\n\nmanufacturing modernization and assistance that is\n\navailable to support efforts to improve the abilities\n\nof small and medium-sized firms to produce and market\n\nhigher value-added products,\n\nj. to establish a system to evaluate the effectiveness\n\nand efficiency of services provided to small and\n\nmedium-sized manufacturing firms,\n\nk. to establish and operate, directly or under contract,\n\nan information system designed to access resources\n\nthat will assist the firms to become more productive,\n\nl. establish a training program for individuals working\n\non behalf of small and medium-sized manufacturing\n\nfirms, and\n\nm. to establish special educational and informational\n\nprograms for its members.","path":["OK Code","Title 74"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os74.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"eb7031ab614f5f74d1de6f85aeffdd6b310fc4d5f45c56604a5d8294a6cce389","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-74-74-5060.25","next":"us-ok/okla.-stat.-tit.-74-74-5060.27"},"notice":"GroundRules: Original legal text.
