Stat. tit. 74, § 74-5090.2","heading":"Oklahoma Department of Commerce Board — Members —","body":"Qualifications — Terms.\n\nA. There is hereby created the Oklahoma Department of Commerce\n\nBoard. The Board shall constitute an advisory oversight board and\n\nshall consist of nine (9) voting members, as follows:\n\n1. Two members to be appointed by the President Pro Tempore of\n\nthe Senate; provided, at least one appointed member shall be from a\n\nmunicipality with a population of fifty thousand (50,000) people or\n\nless according to the latest Federal Decennial Census;\n\n2. Two members to be appointed by the Speaker of the House of\n\nRepresentatives; provided, at least one appointed member shall be\n\nfrom a municipality with a population of fifty thousand (50,000)\n\npeople or less according to the latest Federal Decennial Census;\n\n3. Four members to be appointed by the Governor; provided, at\n\nleast one appointed member shall be:\n\na. an economic development practitioner from this state,\n\nand\n\nb. from a municipality with a population of fifty\n\nthousand (50,000) people or less according to the\n\nlatest Federal Decennial Census; and\n\n4. The Secretary of Commerce, or his or her designee, who shall\n\nserve as chair.\n\nB. Five members of the Board shall constitute a quorum, and the\n\nvote of the majority of members present shall be necessary for any\n\naction to be taken by the Board. No vacancy in the membership of\n\nthe Board shall impair the rights of a quorum to exercise and\n\nperform all the rights and duties of the Board. The members of the\n\nBoard shall:\n\n1. Have at least a minimum of five (5) years of experience\n\nworking in the private sector; and\n\n2. Possess expertise in at least one of the following areas:\n\na. marketing,\n\nb. international commerce,\n\nc. finance or grant administration,\n\nd. state, regional, or local economic development,\n\ne. incentive evaluation programs,\n\nf. law,\n\ng. information technologies,\n\nh. transportation,\n\ni. workforce development,\n\nj. manufacturing,\n\nk. biotechnology,\n\nl. cybersecurity,\n\nm. defense,\n\nn. energy,\n\no. aviation,\n\np. entrepreneurship, or\n\nq. any other critical industry in this state.\n\nC. The initial terms for members of the Board:\n\n1. Appointments of the President Pro Tempore of the Senate, one\n\nappointee shall serve a one-year term and one appointee shall serve\n\na two-year term;\n\n2. Appointments of the Speaker of the House of Representatives,\n\none appointee shall serve a one-year term and one appointee shall\n\nserve a two-year term; and\n\n3. Appointments of the Governor, two appointees shall serve\n\none-year terms and two appointees shall serve two-year terms.\n\nThereafter, the terms of members of the Board shall be for three\n\n(3) years.\n\nD. A vacancy on the Board shall be filled for the unexpired\n\nterm of office in the same manner as the original appointment. Each\n\nappointed member shall serve at the pleasure of his or her\n\nappointing authority and may be removed or replaced with cause.\n\nE. The Board shall elect a vice chair and such other officers\n\ndeemed necessary to conduct the business of the Board from among its\n\nmembers. The chair shall preside over meetings of the Board, and\n\nofficers shall perform duties as may be required by the Board. The\n\ninitial appointments of the Board shall be made within thirty (30)\n\ndays after the effective date of this act. The first meeting of the\n\nBoard shall be called no later than sixty (60) days after the\n\neffective date of this act.\n\nF. No member of the Board shall receive a salary or\n\nreimbursement for duties performed as a member of the Board;\n\nhowever, members are eligible to receive travel reimbursement as\n\nprovided in the State Travel Reimbursement Act.\n\nG. A member serving on the Board shall be eligible to serve on\n\nany other state board or commission if such member is otherwise\n\nqualified to hold such appointed office, notwithstanding the\n\nprovisions of Section 6 of Title 51 of the Oklahoma Statutes.\n\nH. The meetings of the Board shall be subject to the Oklahoma\nto receive travel reimbursement as\n\nprovided in the State Travel Reimbursement Act.\n\nG. A member serving on the Board shall be eligible to serve on\n\nany other state board or commission if such member is otherwise\n\nqualified to hold such appointed office, notwithstanding the\n\nprovisions of Section 6 of Title 51 of the Oklahoma Statutes.\n\nH. The meetings of the Board shall be subject to the Oklahoma\n\nOpen Meeting Act and the Oklahoma Open Records Act. The Board may\n\nkeep confidential:\n\n1. Business plans, feasibility studies, financing proposals,\n\nmarketing plans, financial statements, or trade secrets submitted by\n\na person or entity seeking economic advice, business development, or\n\ncustomized training from such departments or school districts;\n\n2. Proprietary information of the business submitted to the\n\ndepartments or school districts for the purpose of business\n\ndevelopment or customized training, and any related confidentiality\n\nagreements detailing the information or records designated as\n\nconfidential; and\n\n3. Information compiled by such departments or school districts\n\nin response to those submissions.\n\nExecutive sessions may be held to discuss such materials if\n\ndeemed necessary by the Board.\n\nI. The Board may create working groups from time to time to\n\nassist the Board in carrying out the provisions of this act. The\n\nworking groups may consist of members from governmental agencies and\n\nmembers of the private sector of this state as appointed by the\n\nmembers of the Board including, but not limited to, the Chief\n\nExecutive Officer of the Oklahoma Department of Commerce, Chief\n\nExecutive Officer of the Oklahoma Workforce Commission, and the\n\nSecretary of Transportation.\n\nJ.
