Upon the affirmative order of the board of county\n\ncommissioners to organize the district, the corporation shall be\n\ndeemed dissolved. The board of directors of the corporation shall\n\nfile notice of such dissolution with the Secretary of State.\n\nB. All debts, liabilities and obligations of the corporation\n\nshall be paid and discharged or transferred pursuant to subsection E\n\nof this section.\n\nC. Upon filing with the Secretary of State of notice of\n\ndissolution, the corporation shall cease to carry on its business\n\nexcept insofar as may be necessary for the winding up thereof.\n\nD. Upon receipt of notice of dissolution and compliance with\n\nthe provisions of this section, the Secretary of State shall issue a\n\ncertificate of dissolution for the corporation.\n\nE. 1. Except as otherwise provided by subsection B of this\n\nsection, any employee benefits, assets, easements, and titles to any\n\nreal property or personal property held by the corporation shall be\n\nconstrued to be the benefits, assets, easements, property and\n\nobligation of the district.\n\n2. A single notice of the transfer shall be filed for such\n\nassets, easements or titles of record with the Secretary of State\n\nand in the office of the county clerk where such records are\n\nlocated.\n\n3.
