Any elector in the division of the district in which he\n\nresides may serve as a director in that division.\n\n2. If an elector does not own irrigable land in the division of\n\nthe district in which he resides, or resides outside the district,\n\nsuch elector may serve as a director in the division in which the\n\nmajority of his land is located.\n\nB. At the time and place established by the Oklahoma Water\n\nResources Board for the first meeting of the electors of the\n\ndistrict, the electors shall adopt bylaws. In addition to any other\n\nprovisions normally and properly included in bylaws, the bylaws\n\nshall, at a minimum, include provisions regarding the following:\n\n1. Establishing the district's name and principal place of\n\nbusiness;\n\n2. Requiring an annual meeting of electors and providing that a\n\nnotice of such annual meeting be given, by mail, to each elector not\n\nless than fifteen (15) days prior to the annual meeting;\n\n3. Requiring special meetings of electors and providing that a\n\nnotice of such special meeting be given, by mail, to each elector\n\nnot less than fifteen (15) days prior to the special meeting;\n\n4. Requiring that the electors pursuant to the provisions of\n\nthis section shall:\n\na. establish qualifications and a process to elect a\n\nboard of directors. The board of directors shall be\n\ncomposed of not less than five members nor more than\n\nnine. The board of directors shall be elected from\n\ndivisions approximately equal in land area and number\n\nof electors. A director shall be twenty-one (21)\n\nyears of age or older and an elector in the district,\n\nand\n\nb. set the director's terms of office. The terms of\n\noffice of the initial board shall be until the date of\n\nthe first, second, or third annual meeting of the\n\nelectors. Successors shall be elected for terms of\n\nthree (3) years. For any vacancy on the board due to\n\nresignation, death, or any cause resulting in an\n\nunexpired term, the board shall appoint a person to\n\ncomplete such unexpired term;\n\n5. Requiring that any director who ceases to qualify as an\n\nelector or a director during his term of office shall immediately\n\ncease to be a director and his office shall be vacant;\n\n6. Requiring that a director may be removed from his office by:\n\na. a majority vote of the electors in the electing\n\ndivision at any time, and for any reason at an\n\nelection called upon a petition signed by at least\n\nsixty percent (60%) of the electors of the division,\n\nor\n\nb. the district judge having jurisdiction of the district\n\nfor dishonesty, incompetency or failure to perform the\n\nduties imposed upon him pursuant to the Oklahoma\n\nIrrigation District Act;\n\n7. Requiring that each elector be entitled to one vote on any\n\nelection, motion, resolution or proposal properly brought for vote\n\nbefore the electors;\n\n8. Providing that each elector may vote in person, by proxy or\n\nby absentee ballot by procedures established and supervised by the\n\ndirectors; and\n\n9. Providing for setting and modification of assessments.\n\nC. Following the adoption of bylaws, the electors shall conduct\n\nsuch other business as may be necessary for the proper organization\n\nof the district including but not limited to:\n\n1. Electing a board of directors pursuant to the district's\n\nbylaws; and\n\n2. Adopting an official seal.\n\nD. 1. Following the first meeting of electors, the board shall\n\nsubmit the initial bylaws to the Oklahoma Water Resources Board for\n\ntheir approval or disapproval. The Oklahoma Water Resources Board\n\nshall either approve or disapprove the bylaws within sixty (60) days\n\nafter receiving written notification and a copy of the bylaws from\n\nthe board. The failure of the Oklahoma Water Resources Board to\n\ndisapprove the bylaws within sixty (60) days shall constitute\n\napproval.\n\n2. Upon any subsequent modification or amendment of the bylaws\napproval or disapproval. The Oklahoma Water Resources Board\n\nshall either approve or disapprove the bylaws within sixty (60) days\n\nafter receiving written notification and a copy of the bylaws from\n\nthe board. The failure of the Oklahoma Water Resources Board to\n\ndisapprove the bylaws within sixty (60) days shall constitute\n\napproval.\n\n2. Upon any subsequent modification or amendment of the bylaws\n\nby the electors, the modified or amended bylaws shall be submitted\n\nto the Oklahoma Water Resources Board for their approval or\n\ndisapproval in the same manner and subject to the same conditions as\n\nthe initial bylaws.
