Stat. tit. 82, § 82-864","heading":"Appointment of secretary and other officers - Compensation","body":"of officers, agents and employees.\n\nA. 1. The Board of Directors of the Grand River Dam Authority\n\nshall select a secretary who shall keep true and complete records of\n\nall proceedings of the Board. Until the appointment of a secretary,\n\nor in the event of absence or inability to act, a secretary pro\n\ntempore shall be selected by the Board.\n\n2. The Board shall also select a chief executive officer of the\n\ndistrict, and a treasurer, who may also hold the office of\n\nsecretary.\n\n3. All such officers shall have the powers and duties, and\n\nshall hold office for such term and be subject to removal in such\n\nmanner as may be provided in the compensation of such officers. The\n\nBoard may appoint such officers, fix their compensation and term of\n\noffice and the method by which they may be removed and delegate to\n\nthem such other powers and duties as it may deem appropriate.\n\n4. Except for the purpose of inquiry, the Board and its members\n\nshall deal with the operations of the district solely through the\n\nChief Executive Officer. The Board and its members shall not:\n\na. direct or request the Chief Executive Officer or other\n\nauthority to appoint or remove officers or employees\n\nexcept as herein provided,\n\nb. participate in any manner in the appointment or\n\nremoval of officers and employees of the district,\n\nexcept as provided by law, or\n\nc. give orders or ordinary administrative matters to any\n\nsubordinate of the Chief Executive Officer either\n\npublicly or privately.\n\nB.
