{"data":{"id":"us-pa/13-pa.c.s.-9401","jurisdiction":"us-pa","citation":"13 Pa.C.S. § 9401","heading":"Alienability of debtor's rights.","body":"(a) Other law governs alienability; exceptions.--Except as otherwise provided in subsections (b) and (c), whether a debtor's rights in collateral may be voluntarily or involuntarily transferred is governed by law other than this division.\n(b) Agreement does not prevent transfer.--An agreement between the debtor and secured party which prohibits a transfer of the debtor's rights in collateral or makes the transfer a default does not prevent the transfer from taking effect.\n(c) Exceptions.--Subsection (a) is also subject to the following:\n(1) section 9406 (relating to discharge of account debtor; notification of assignment; identification and proof of assignment; restrictions on assignment of accounts, chattel paper, payment intangibles and promissory notes ineffective);\n(2) section 9407 (relating to restrictions on creation or enforcement of security interest in leasehold interest or in lessor's residual interest);\n(3) section 9408 (relating to restrictions on assignment of promissory notes, health-care-insurance receivables and certain general intangibles ineffective); and\n(4) section 9409 (relating to restrictions on assignment of letter-of-credit rights ineffective).","path":["Title 13 - COMMERCIAL CODE","CHAPTER 94 RIGHTS OF THIRD PARTIES"],"source_url":"https://www.palegis.us/statutes/consolidated/view-statute?txtType=HTM\u0026ttl=13\u0026div=0\u0026chpt=94\u0026sctn=1\u0026subsctn=0","current_through":"2025-12-01 (Statute Update stamp, 13 Pa.C.S.)","vintage":"","retrieved_at":"2026-09-02T16:31:03Z","sha256":"6df1b4271da5f70d4c3ad7317d87439098f47ff721f4ff8a3c3778f759be5534","source_id":"us-pa","stale":false,"prev":"us-pa/13-pa.c.s.-9342","next":"us-pa/13-pa.c.s.-9402"},"notice":"GroundRules: Original legal text.
