{"data":{"id":"us-pa/15-pa.c.s.-318","jurisdiction":"us-pa","citation":"15 Pa.C.S. § 318","heading":"Excluded entities and transactions.","body":"(a) Excluded entities.--The following entities may not participate in a transaction under this chapter:\n(1) A cooperative corporation subject to Chapter 73 (relating to electric cooperative corporations).\n(2) A beneficial, benevolent, fraternal or fraternal benefit society:\n(i) having a lodge system and a representative form of government; or\n(ii) transacting any type of insurance.\n(3) A credit union.\n(b) Excluded transactions involving certain nonprofit corporations.--The following apply to nonprofit corporations:\n(1) Except as provided in paragraph (2), this chapter may not be used to accomplish a transaction that has the effect of converting a domestic nonprofit corporation that is subject to the supervision of the Department of Banking and Securities, the Insurance Department or the Pennsylvania Public Utility Commission to a different type of entity.\n(2) Paragraph (1) does not apply to a transaction under this chapter in which a health maintenance organization is converted to a different type of entity if the transaction has received the prior approval of the Insurance Department.\n(c) Cross references.--See sections 103 (relating to subordination of title to regulatory laws) and 314 (relating to regulatory conditions and required notices and approvals).","path":["Title 15 - CORPORATIONS AND UNINCORPORATED ASSOCIATIONS","PART I PRELIMINARY PROVISIONS","CHAPTER 3 ENTITY TRANSACTIONS","SUBCHAPTER A PRELIMINARY PROVISIONS"],"source_url":"https://www.palegis.us/statutes/consolidated/view-statute?txtType=HTM\u0026ttl=15\u0026div=0\u0026chpt=3\u0026sctn=18\u0026subsctn=0","current_through":"2026-07-28 (Statute Update stamp, 15 Pa.C.S.)","vintage":"","retrieved_at":"2026-09-02T16:31:13Z","sha256":"628f80ff1b6290af4b822622fc5f7210a71f2b493563ccc4d7263db999d2959b","source_id":"us-pa","stale":false,"prev":"us-pa/15-pa.c.s.-317","next":"us-pa/15-pa.c.s.-319"},"notice":"GroundRules: Original legal text.
