{"data":{"id":"us-pa/15-pa.c.s.-331","jurisdiction":"us-pa","citation":"15 Pa.C.S. § 331","heading":"Merger authorized.","body":"(a) General rule.--Except as provided in section 318 (relating to excluded entities and transactions) or this section, by complying with this chapter:\n(1) One or more domestic entities may merge with one or more domestic entities or foreign associations into a surviving association.\n(2) Two or more foreign associations may merge into a surviving association that is a domestic entity.\n(3) A domestic banking institution may be a merging association or surviving association in a merger with one or more domestic or foreign associations if the surviving association or at least one of the merging associations is a domestic entity.\n(b) Foreign law authorization required.--By complying with the applicable provisions of this subchapter, a foreign association may be a party to a merger under this subchapter or may be the surviving association in such a merger if the merger is authorized by the laws of the jurisdiction of formation of the foreign association.\n(c) Banking institutions.--Subsection (a)(3) controls over any inconsistent provision of the organic law of a domestic banking institution that is a merging association.\n(d) Exception.--A health maintenance organization may be a merging association only if the surviving association is a health maintenance organization.\n(e) Cross reference.--See section 314 (relating to regulatory conditions and required notices and approvals).","path":["Title 15 - CORPORATIONS AND UNINCORPORATED ASSOCIATIONS","PART I PRELIMINARY PROVISIONS","CHAPTER 3 ENTITY TRANSACTIONS","SUBCHAPTER C MERGER"],"source_url":"https://www.palegis.us/statutes/consolidated/view-statute?txtType=HTM\u0026ttl=15\u0026div=0\u0026chpt=3\u0026sctn=31\u0026subsctn=0","current_through":"2026-07-28 (Statute Update stamp, 15 Pa.C.S.)","vintage":"","retrieved_at":"2026-09-02T16:31:13Z","sha256":"f85552173263f194a41e93f6e80acaafe1956f1b0a0002c4e96dcaceed059549","source_id":"us-pa","stale":false,"prev":"us-pa/15-pa.c.s.-330","next":"us-pa/15-pa.c.s.-332"},"notice":"GroundRules: Original legal text.
