{"data":{"id":"us-pa/15-pa.c.s.-9130","jurisdiction":"us-pa","citation":"15 Pa.C.S. § 9130","heading":"Action by managers.","body":"(a) General rule.--Except as provided in the governing principles:\n(1) approval of a matter by the managers requires the affirmative vote of at least a majority of the votes cast at a meeting of managers; and\n(2) each manager is entitled to one vote on each matter that is submitted for approval by the managers.\n(b) Procedural matters.--The governing principles may provide for the:\n(1) delegation to a manager of authority to act without a meeting of the managers;\n(2) creation and authority of committees of the managers;\n(3) calling, location and timing of meetings of the managers or a committee of the managers;\n(4) notice and quorum requirements for meetings of the managers or a committee of the managers;\n(5) conduct of meetings of the managers or a committee of the managers;\n(6) taking of action by the managers or a committee of the managers by consent without a meeting or by ballot;\n(7) participation by managers in a meeting of the managers or a committee of the managers by telephone or other means of electronic communication; and\n(8) taking of action by a manager by proxy.\n(c) Absence of governing principles.--If the governing principles do not provide for a matter described in subsection (b), customary usages and principles of parliamentary law and procedure apply.","path":["Title 15 - CORPORATIONS AND UNINCORPORATED ASSOCIATIONS","PART IV UNINCORPORATED ASSOCIATIONS","CHAPTER 91 UNINCORPORATED NONPROFIT ASSOCIATIONS"],"source_url":"https://www.palegis.us/statutes/consolidated/view-statute?txtType=HTM\u0026ttl=15\u0026div=0\u0026chpt=91\u0026sctn=30\u0026subsctn=0","current_through":"2026-07-28 (Statute Update stamp, 15 Pa.C.S.)","vintage":"","retrieved_at":"2026-09-02T16:31:13Z","sha256":"be73077e15b5543a87c36443f9161af5daa7adc2cc6c81fd1f20a030208bd724","source_id":"us-pa","stale":false,"prev":"us-pa/15-pa.c.s.-9129","next":"us-pa/15-pa.c.s.-9131"},"notice":"GroundRules: Original legal text.
