Laws § 6A-8-208","heading":"Effect of signature of authenticating trustee, registrar, or transfer agent.","body":"(a) A person signing a security certificate as authenticating trustee, registrar, transfer agent, or the like, warrants to a purchaser for value of the certificated security, if the purchaser is without notice of a particular defect, that:\n(1) the certificate is genuine;\n(2) the person’s own participation in the issue of the security is within the person’s capacity and within the scope of the authority received by the person from the issuer; and\n(3) the person has reasonable grounds to believe that the certificated security is in the form and within the amount the issuer is authorized to issue.\n(b) Unless otherwise agreed, a person signing under subsection (a) does not assume responsibility for the validity of the security in other respects.","path":["Title 6A Uniform Commercial Code","Chapter 8 Investment Securities","Part 2 Issue and Issuer"],"source_url":"https://webserver.rilegislature.gov/Statutes/TITLE6A/6A-8/6A-2/6A-8-208.htm","current_through":"site files published 2025-08-13","vintage":"","retrieved_at":"2026-09-05T18:21:49Z","sha256":"0a0f84517eec133c44390a6b687deb6b0646ec4cb7f79e4c36e5635c2e827527","source_id":"us-ri","stale":true,"prev":"us-ri/r.i.-gen.-laws-6a-8-207","next":"us-ri/r.i.-gen.-laws-6a-8-209"},"notice":"GroundRules: Original legal text.
