Laws § 7-12.1-1005","heading":"Activities not constituting doing business.","body":"(a) Activities of a foreign limited liability partnership which do not constitute doing business in this state under this article include:\n(1) Maintaining, defending, mediating, arbitrating, or settling an action or proceeding;\n(2) Carrying on any activity concerning its internal affairs, including holding meetings of its partners;\n(3) Maintaining accounts in financial institutions;\n(4) Maintaining offices or agencies for the transfer, exchange, and registration of securities of the partnership or maintaining trustees or depositories with respect to those securities;\n(5) Selling through independent contractors;\n(6) Soliciting or obtaining orders by any means if the orders require acceptance outside this state before they become contracts;\n(7) Creating or acquiring indebtedness, mortgages, or security interests in property;\n(8) Securing or collecting debts or enforcing mortgages or security interests in property securing the debts and holding, protecting, or maintaining property;\n(9) Conducting an isolated transaction that is not in the course of similar transactions;\n(10) Owning, without more, property; and\n(11) Doing business in interstate commerce.\n(b) A person does not do business in this state solely by being a partner of a foreign limited liability partnership that does business in this state.\n(c) This section does not apply in determining the contacts or activities that may subject a foreign limited liability partnership to service of process, taxation, or regulation under law of this state other than this chapter.","path":["Title 7 Corporations, Associations, and Partnerships","Chapter 12.1 Uniform Partnership Act","Article 10 Foreign Limited Liability Partnership"],"source_url":"https://webserver.rilegislature.gov/Statutes/TITLE7/7-12.1/7-10/7-12.1-1005.htm","current_through":"site files published 2025-08-13","vintage":"","retrieved_at":"2026-09-05T19:38:19Z","sha256":"23e522a6943a1e1aa7f44d1c7650ef24c4ec049fd0315709eca2753b7dae7035","source_id":"us-ri","stale":true,"prev":"us-ri/r.i.-gen.-laws-7-12.1-1004","next":"us-ri/r.i.-gen.-laws-7-12.1-1006"},"notice":"GroundRules: Original legal text.
