Laws § 7-12.1-1142","heading":"Plan of conversion.","body":"(a) A domestic partnership may convert to a different type of entity under this part by approving a plan of conversion. The plan must be in a record and contain:\n(1) The name of the converting partnership;\n(2) The name, jurisdiction of formation, and type of entity of the converted entity;\n(3) The manner of converting the interests in the converting partnership into interests, securities, obligations, money, other property, rights to acquire interests or securities, or any combination of the foregoing;\n(4) The proposed public organic record of the converted entity if it will be a filing entity;\n(5) The full text of the private organic rules of the converted entity which are proposed to be in a record;\n(6) The other terms and conditions of the conversion; and\n(7) Any other provision required by the law of this state or the partnership agreement of the converting partnership.\n(b) In addition to the requirements of subsection (a) of this section, a plan of conversion may contain any other provision not prohibited by law.","path":["Title 7 Corporations, Associations, and Partnerships","Chapter 12.1 Uniform Partnership Act","Article 11 Merger, Interest Exchange, Conversion, and Domestication","Part 4 Conversion"],"source_url":"https://webserver.rilegislature.gov/Statutes/TITLE7/7-12.1/7-11/7-4/7-12.1-1142.htm","current_through":"site files published 2025-08-13","vintage":"","retrieved_at":"2026-09-05T19:41:14Z","sha256":"b9c111ed2c58028e6bba1c3aa7f9f4e82e254d3f1e8e44f11038bbe5c2daa293","source_id":"us-ri","stale":true,"prev":"us-ri/r.i.-gen.-laws-7-12.1-1141","next":"us-ri/r.i.-gen.-laws-7-12.1-1143"},"notice":"GroundRules: Original legal text.
