Laws § 7-12.1-909","heading":"Change of registered agent or address for registered agent by limited liability partnership.","body":"(a) A limited liability partnership or registered foreign limited liability partnership may change its registered agent or the address of its registered agent by delivering to the secretary of state for filing a statement of change that states:\n(1) The name of the partnership or foreign partnership; and\n(2) The information that is to be in effect as a result of the filing of the statement of change.\n(b) The partners of a limited liability partnership need not approve the delivery to the secretary of state for filing of:\n(1) A statement of change under this section; or\n(2) A similar filing changing the registered agent or registered office, if any, of the partnership in any other jurisdiction.\n(c) A statement of change under this section designating a new registered agent is an affirmation of fact by the limited liability partnership or registered foreign limited liability partnership that the agent has consented to serve.","path":["Title 7 Corporations, Associations, and Partnerships","Chapter 12.1 Uniform Partnership Act","Article 9 Limited Liability Partnership"],"source_url":"https://webserver.rilegislature.gov/Statutes/TITLE7/7-12.1/7-9/7-12.1-909.htm","current_through":"site files published 2025-08-13","vintage":"","retrieved_at":"2026-09-05T19:37:15Z","sha256":"ffec37cb8c8de405bf6be8c842520b848b476a029fbf74446951ef685622a605","source_id":"us-ri","stale":true,"prev":"us-ri/r.i.-gen.-laws-7-12.1-908","next":"us-ri/r.i.-gen.-laws-7-12.1-910"},"notice":"GroundRules: Original legal text.
