Laws § 7-13.1-1152","heading":"Plan of domestication.","body":"(a) A domestic limited partnership may become a foreign limited partnership in a domestication by approving a plan of domestication. The plan must be in a record and contain:\n(1) The name of the domesticating limited partnership;\n(2) The name and jurisdiction of formation of the domesticated limited partnership;\n(3) The manner of converting the interests in the domesticating limited partnership into interests, securities, obligations, money, other property, rights to acquire interests or securities, or any combination of the foregoing;\n(4) The proposed certificate of limited partnership of the domesticated limited partnership;\n(5) The full text of the provisions of the partnership agreement of the domesticated limited partnership, that are proposed to be in a record;\n(6) The other terms and conditions of the domestication; and\n(7) Any other provision required by the law of this state or the partnership agreement of the domesticating limited partnership.\n(b) In addition to the requirements of subsection (a) of this section, a plan of domestication may contain any other provision not prohibited by law.","path":["Title 7 Corporations, Associations, and Partnerships","Chapter 13.1 Uniform Limited Partnership Act","Part 11 Merger, Interest Exchange, Conversion, and Domestication","Subpart 5 Domestication"],"source_url":"https://webserver.rilegislature.gov/Statutes/TITLE7/7-13.1/7-11/7-5/7-13.1-1152.htm","current_through":"site files published 2025-08-13","vintage":"","retrieved_at":"2026-09-05T19:54:50Z","sha256":"10e6488aba53fe2388acffc933204b6130ce16b202c10c65eceefd1ed3d393a4","source_id":"us-ri","stale":true,"prev":"us-ri/r.i.-gen.-laws-7-13.1-1151","next":"us-ri/r.i.-gen.-laws-7-13.1-1153"},"notice":"GroundRules: Original legal text.
