Laws § 7-13.1-118","heading":"Change of registered agent or address for registered agent by limited partnership.","body":"(a) A limited partnership or registered foreign limited partnership may change its registered agent or the address of its registered agent by delivering to the secretary of state for filing a statement of change that states:\n(1) The name of the partnership or foreign partnership; and\n(2) The information that is to be in effect as a result of the filing of the statement of change.\n(b) The general or limited partners of a limited partnership need not approve the delivery to the secretary of state for filing of:\n(1) A statement of change under this section; or\n(2) A similar filing changing the registered agent or registered office, if any, of the partnership in any other jurisdiction.\n(c) A statement of change under this section designating a new registered agent is an affirmation of fact by the limited partnership or registered foreign limited partnership that the agent has consented to serve.\n(d) Any person who designates a registered agent without the registered agent’s authority is guilty of a misdemeanor and, upon conviction, may be punished by a fine of not more than one thousand dollars ($1,000) or by imprisonment of not more than one year, or both.","path":["Title 7 Corporations, Associations, and Partnerships","Chapter 13.1 Uniform Limited Partnership Act","Part 1 General Provisions"],"source_url":"https://webserver.rilegislature.gov/Statutes/TITLE7/7-13.1/7-1/7-13.1-118.htm","current_through":"site files published 2025-08-13","vintage":"","retrieved_at":"2026-09-05T19:50:24Z","sha256":"ac281826b4c78c1e6c20d9b48b3291b913a793ee6f03be02dd45a8c5b277689a","source_id":"us-ri","stale":true,"prev":"us-ri/r.i.-gen.-laws-7-13.1-117","next":"us-ri/r.i.-gen.-laws-7-13.1-119"},"notice":"GroundRules: Original legal text.
