Laws § 7-13.1-202","heading":"Amendment or restatement of certificate of limited partnership.","body":"(a) A certificate of limited partnership may be amended or restated at any time.\n(b) To amend its certificate of limited partnership, a limited partnership must deliver to the secretary of state for filing an amendment stating:\n(1) The name of the partnership;\n(2) The date of filing of its initial certificate; and\n(3) The text of the amendment.\n(c) To restate its certificate of limited partnership, a limited partnership must deliver to the secretary of state for filing a restatement, designated as such in its heading.\n(d) A limited partnership shall promptly deliver to the secretary of state for filing an amendment to a certificate of limited partnership to reflect:\n(1) The admission of a new general partner;\n(2) The dissociation of a person as a general partner; or\n(3) The appointment of a person to wind up the limited partnership’s activities and affairs under § 7-13.1-802(c) or (d).\n(e) If a general partner knows that any information in a filed certificate of limited partnership was inaccurate when the certificate was filed or has become inaccurate due to changed circumstances, the general partner shall promptly:\n(1) Cause the certificate to be amended; or\n(2) If appropriate, deliver to the secretary of state for filing a statement of change under § 7-13.1-118 or a statement of correction under § 7-13.1-209.","path":["Title 7 Corporations, Associations, and Partnerships","Chapter 13.1 Uniform Limited Partnership Act","Part 2 Formation — Certificate of Limited Partnership and Other Filings"],"source_url":"https://webserver.rilegislature.gov/Statutes/TITLE7/7-13.1/7-2/7-13.1-202.htm","current_through":"site files published 2025-08-13","vintage":"","retrieved_at":"2026-09-05T19:51:09Z","sha256":"e808796ebc6c352c41be651606364f13fce179aeb8d1203eadd9c34e18658afc","source_id":"us-ri","stale":true,"prev":"us-ri/r.i.-gen.-laws-7-13.1-201","next":"us-ri/r.i.-gen.-laws-7-13.1-203"},"notice":"GroundRules: Original legal text.
