Laws § 7-13.1-205","heading":"Liability for inaccurate information in filed record.","body":"(a) If a record delivered to the secretary of state for filing under this chapter and filed by the secretary of state contains inaccurate information, a person that suffers loss by reliance on the information may recover damages for the loss from:\n(1) A person that signed the record, or caused another to sign it on the person’s behalf, and knew the information to be inaccurate at the time the record was signed; and\n(2) A general partner if:\n(i) The record was delivered for filing on behalf of the partnership; and\n(ii) The general partner knew or had notice of the inaccuracy for a reasonably sufficient time before the information was relied upon so that, before the reliance, the general partner reasonably could have:\n(A) Effected an amendment under § 7-13.1-202;\n(B) Filed a petition under § 7-13.1-204; or\n(C) Delivered to the secretary of state for filing a statement of change under § 7-13.1-118 or a statement of correction under § 7-13.1-209.\n(b) An individual who signs a record authorized or required to be filed under this chapter affirms under penalty of perjury that the information stated in the record is accurate.","path":["Title 7 Corporations, Associations, and Partnerships","Chapter 13.1 Uniform Limited Partnership Act","Part 2 Formation — Certificate of Limited Partnership and Other Filings"],"source_url":"https://webserver.rilegislature.gov/Statutes/TITLE7/7-13.1/7-2/7-13.1-205.htm","current_through":"site files published 2025-08-13","vintage":"","retrieved_at":"2026-09-05T19:51:24Z","sha256":"6df2f4474568a3a6d091c3f7dbf7f8ac2b9305080b2095c2110c8de07c8a2762","source_id":"us-ri","stale":true,"prev":"us-ri/r.i.-gen.-laws-7-13.1-204","next":"us-ri/r.i.-gen.-laws-7-13.1-206"},"notice":"GroundRules: Original legal text.
