Laws § 7-13.1-602","heading":"Effect of dissociation as limited partner.","body":"(a) If a person is dissociated as a limited partner:\n(1) Subject to § 7-13.1-704, the person does not have further rights as a limited partner;\n(2) The person’s contractual obligation of good faith and fair dealing as a limited partner under § 7-13.1-305(a) ends with regard to matters arising and events occurring after the person’s dissociation; and\n(3) Subject to § 7-13.1-704 and part 11 of this chapter, any transferable interest owned by the person in the person’s capacity as a limited partner immediately before dissociation is owned by the person solely as a transferee.\n(b) A person’s dissociation as a limited partner does not of itself discharge the person from any debt, obligation, or other liability to the limited partnership or the other partners which the person incurred while a limited partner.","path":["Title 7 Corporations, Associations, and Partnerships","Chapter 13.1 Uniform Limited Partnership Act","Part 6 Dissociation"],"source_url":"https://webserver.rilegislature.gov/Statutes/TITLE7/7-13.1/7-6/7-13.1-602.htm","current_through":"site files published 2025-08-13","vintage":"","retrieved_at":"2026-09-05T19:54:24Z","sha256":"60e6a23da3dcb50c84a218dce6216ccac4fe5732dfec1c5d6961133d14d9e505","source_id":"us-ri","stale":true,"prev":"us-ri/r.i.-gen.-laws-7-13.1-601","next":"us-ri/r.i.-gen.-laws-7-13.1-603"},"notice":"GroundRules: Original legal text.
