Laws § 7-16-47","heading":"Articles of dissolution.","body":"Not later than thirty (30) days following the dissolution and winding up of the limited liability company for any cause other than that set forth in § 7-16-39(1), articles of dissolution shall be filed in the office of the secretary of state and set forth:\n(1) The name of the limited liability company;\n(2) The date of filing of the original articles of organization;\n(3) The date of filing of all amendments to the original articles of organization or the most recent restatement, if any, and all subsequent amendments to the articles of organization;\n(4) The reason for filing the articles of dissolution;\n(5) The effective date, which shall be a date certain, of the dissolution; and\n(6) Any other information or provision, not inconsistent with law, that the members or authorized person signing the articles of dissolution elect to set forth.","path":["Title 7 Corporations, Associations, and Partnerships","Chapter 16 The Rhode Island Limited Liability Company Act"],"source_url":"https://webserver.rilegislature.gov/Statutes/TITLE7/7-16/7-16-47.htm","current_through":"site files published 2025-08-13","vintage":"","retrieved_at":"2026-09-05T19:54:51Z","sha256":"a0d2329ec75e5490f128ff67e11944939fb92b7e295e483d571d408c5a6f2149","source_id":"us-ri","stale":true,"prev":"us-ri/r.i.-gen.-laws-7-16-46","next":"us-ri/r.i.-gen.-laws-7-16-48"},"notice":"GroundRules: Original legal text.
