Code Ann. § 33-31-805","heading":"Terms of directors generally.","body":"(a) The articles or bylaws may specify the terms of directors. Except for designated or appointed directors, the terms of directors may not exceed five years. In the absence of a term specified in the articles or bylaws, the term of each director is one year. Directors may be elected for successive terms.\n(b) A decrease in the number of directors or term of office does not shorten an incumbent director's term.\n(c) Except as provided in the articles or bylaws:\n(1) the term of a director filling a vacancy in the office of a director elected by members expires at the next election of directors by members; and\n(2) the term of a director filling another vacancy expires at the end of the unexpired term that such director is filling.\n(d) Despite the expiration of a director's term, the director continues to serve until the director's successor is elected, designated or appointed, and qualifies, or until there is a decrease in the number of directors.","path":["Title 33 - CORPORATIONS, PARTNERSHIPS AND ASSOCIATIONS","CHAPTER 31 South Carolina Nonprofit Corporation Act","ARTICLE 8 Directors and Officers","Subarticle A Board of Directors"],"source_url":"https://www.scstatehouse.gov/code/t33c031.php","current_through":"2025 Session of the General Assembly","vintage":"","retrieved_at":"2026-09-02T07:03:59Z","sha256":"366951cd3bcea5ac915dc9bef053a5968dffc7950b7de2cd560ef6f65757e3de","source_id":"us-sc","stale":false,"prev":"us-sc/s.c.-code-ann.-33-31-804","next":"us-sc/s.c.-code-ann.-33-31-806"},"notice":"GroundRules: Original legal text.
