Code Ann. § 33-42-410","heading":"Admission of additional limited partners.","body":"(a) A person becomes a limited partner on the later of:\n(1) the date the original certificate of limited partnership is filed; or\n(2) the date stated in the records of the limited partnership as the date that person becomes a limited partner.\n(b) After the filing of a limited partnership's original certificate of limited partnership, a person may be admitted as an additional limited partner:\n(1) in the case of a person acquiring a partnership interest directly from the limited partnership, upon the compliance with the partnership agreement or, if the partnership agreement does not provide, upon the written consent of all partners; and\n(2) in the case of an assignee of a partnership interest of a partner who has the power, as provided in SECTION 33-42-1240, to grant the assignee the right to become a limited partner, upon the exercise of that power and compliance with any conditions limiting the grant or exercise of the power.","path":["Title 33 - CORPORATIONS, PARTNERSHIPS AND ASSOCIATIONS","CHAPTER 42 Uniform Limited Partnership Act","ARTICLE 3 Limited Partners"],"source_url":"https://www.scstatehouse.gov/code/t33c042.php","current_through":"2025 Session of the General Assembly","vintage":"","retrieved_at":"2026-09-02T07:04:29Z","sha256":"306d6db0d9d3e444d8cc35b906bfe11588d9aca8527582ae3583df3c277c61fa","source_id":"us-sc","stale":false,"prev":"us-sc/s.c.-code-ann.-33-42-310","next":"us-sc/s.c.-code-ann.-33-42-420"},"notice":"GroundRules: Original legal text.
