Code Ann. § 36-8-208","heading":"Effect of signature of authenticating trustee, registrar, or transfer agent.","body":"(a) A person signing a security certificate as authenticating trustee, registrar, transfer agent, or the like, warrants to a purchaser for value of the certificated security, if the purchaser is without notice of a particular defect, that:\n(1) the certificate is genuine;\n(2) the person's own participation in the issue of the security is within the person's capacity and within the scope of the authority received by the person from the issuer; and\n(3) the person has reasonable grounds to believe that the certificated security is in the form and within the amount the issuer is authorized to issue.\n(b) Unless otherwise agreed, a person signing under subsection (a) does not assume responsibility for the validity of the security in other respects.","path":["Title 36 - COMMERCIAL CODE","CHAPTER 8 Commercial Code—Investment Securities","Part 2 Issue and Issuer"],"source_url":"https://www.scstatehouse.gov/code/t36c008.php","current_through":"2025 Session of the General Assembly","vintage":"","retrieved_at":"2026-09-02T07:08:44Z","sha256":"2b35c1bd614ebfc85db0112d10dfd83e6cd18d9528bf54b32d1977dad7c1e663","source_id":"us-sc","stale":false,"prev":"us-sc/s.c.-code-ann.-36-8-207","next":"us-sc/s.c.-code-ann.-36-8-209"},"notice":"GroundRules: Original legal text.
