{"data":{"id":"us-sd/sdcl-47-1a-122","jurisdiction":"us-sd","citation":"SDCL § 47-1A-122","heading":"Fees for filing and service--Recovery as costs.","body":"The secretary of state shall collect the following fees when the documents described in this section are delivered for filing:\n(1) Articles of incorporation, one hundred fifty dollars;\n(2) Application for use of indistinguishable name, twenty-five dollars;\n(3) Application for reserved name, twenty-five dollars;\n(4) Notice of transfer of reserved name, fifteen dollars;\n(5) Application for registered name, twenty-five dollars;\n(6) Application for renewal of registered name filed between October first and December thirty-first each year to extend the registration for the following year, fifteen dollars;\n(7) Articles of domestication, one hundred fifty dollars;\n(8) Articles of charter surrender, one hundred fifty dollars;\n(9) Articles of domestication and conversion, one hundred fifty dollars;\n(10) Articles of entity conversion, one hundred fifty dollars;\n(11) Amendment of articles of incorporation, sixty dollars;\n(12) Restatement of articles of incorporation, sixty dollars;\n(13) Articles of merger or share exchange, sixty dollars;\n(14) Articles of dissolution, ten dollars;\n(15) Articles of revocation of dissolution, ten dollars;\n(16) Certificate of administrative dissolution, no charge;\n(17) Application for reinstatement following administrative dissolution, three hundred dollars, plus any delinquent annual report filing fees and associated penalty fees for the period before the reinstatement application;\n(18) Certificate of reinstatement, no charge;\n(19) Certificate of judicial dissolution, no charge;\n(20) Application for certificate of authority, seven hundred fifty dollars;\n(21) Application for amended certificate of authority, two hundred fifty dollars;\n(22) Application for certificate of withdrawal, ten dollars;\n(23) Application for transfer of authority, twenty-five dollars;\n(24) Certificate of revocation of authority to transact business, no charge;\n(25) Annual report, fifty-five dollars;\n(26) Fee imposed on any entity that does not file or refuses to file an annual report within the time prescribed, fifty-five dollars in addition to the annual report filing fee;\n(27) Articles of correction, twenty-five dollars;\n(28) Application for certificate of existence or authorization, twenty dollars;\n(29) Amended annual report, thirty dollars; and\n(30) Any other document required or permitted to be filed by this chapter, twenty dollars.\nThe secretary of state shall collect a fee of thirty dollars each time process is served on the secretary under this chapter. The party to a proceeding causing service of process is entitled to recover this fee as costs if the party prevails in the proceeding.","path":["TITLE 47. CORPORATIONS","CHAPTER 47-1A.
