Code Ann. § 48-60-105","heading":"Articles of amendment","body":"A corporation amending its charter shall deliver to the secretary of state for filing articles of amendment setting forth:\n(1) The name of the corporation;\n(2) The text of each amendment adopted;\n(3) If an amendment provides for an exchange, reclassification, or cancellation of memberships, provisions for implementing the amendment if not contained in the amendment itself;\n(4) The date of each amendment's adoption;\n(5) If approval of members was not required, a statement to that effect and a statement that the amendment was duly adopted by the incorporators or board of directors;\n(6) If approval by members was required, a statement that the amendment was duly adopted by the members; and\n(7) A statement as to whether or not approval of the amendment by some person or persons other than the members, the board, or the incorporators is required pursuant to § 48-60-301 ; and if such approval is required, a statement that the approval was obtained.","path":["TN Code","Title 48","Chapter 60"],"source_url":"https://oss-data-us.vaquill.ai/v2026.08/us_tn_statutes.parquet","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:26Z","sha256":"fab4ff5eae3fd5a21e98d2a8564ee8b6bcaa3b277dbbb2829a1f9395c13a4a22","source_id":"us-tn","stale":false,"prev":"us-tn/tenn.-code-ann.-48-60-104","next":"us-tn/tenn.-code-ann.-48-60-106"},"notice":"GroundRules: Original legal text.
