Business Organizations Code § 101.108","heading":"ASSIGNMENT OF MEMBERSHIP INTEREST.","body":"(a) A membership interest in a limited liability company may be wholly or partly assigned.\n(b) An assignment of a membership interest in a limited liability company:\n(1) is not an event requiring the winding up of the company; and\n(2) does not entitle the assignee to:\n(A) participate in the management and affairs of the company;\n(B) become a member of the company; or\n(C) exercise any rights of a member of the company.\nActs 2003, 78th Leg., ch. 182, Sec. 1, eff.
